Corporate ParalegalThe Corporate Paralegal, based in Dallas, provides comprehensive legal and administrative support for corporate transactions and reports to the Manager of Paralegal Services. This on-site role involves drafting, managing, and filing corporate documents, conducting due diligence, coordinating transaction closings, and maintaining post-closing requirements. Key duties include preparing working group lists, disclosure schedules, and organizational documents; managing UCC, tax lien, and litigation searches; and supporting filings with the IRS, SEC, and various state agencies. The paralegal will leverage AI tools such as KIRA and Harvey for document review and due diligence, as well as iManage Closing Folders for transaction management. Additional responsibilities include preparing stock ledgers, capitalization tables, and secretary's certificates; coordinating notarizations and apostilles; maintaining company records; and handling filings such as UCC financing statements and Form D submissions. The ideal candidate has superior organizational, communication, and analytical skills, with the ability to manage multiple priorities in a fast-paced environment. A bachelor's degree and 5+ years of relevant experience are preferred, along with a paralegal certificate and notary designation. The position offers a salary range of $100–115K and a comprehensive benefits package, including health coverage, retirement plans, paid leave, and performance-based bonuses.
