About the Role

The Company is seeking an Assistant General Counsel, Corporate to join their dynamic team. The successful candidate will be a key player in the Corporate Legal department, with a primary focus on public company securities and governance. This role is not for a generalist; the ideal candidate will have a deep background in SEC reporting, corporate governance, and a proven track record of supporting a public company board of directors. Responsibilities include owning and driving the SEC reporting cycle, serving as the primary author of the company's proxy statement, and overseeing all related disclosure materials. The role also involves supporting the Board and its committees, ensuring compliance with insider trading rules, and providing legal guidance on a range of corporate matters. Applicants for this role at the company should have a J.D. degree and be an active member of at least one U.S. state bar, with a preference for California or New York. A minimum of 10-15 years' legal experience, with a significant focus on public company securities, SEC disclosure, and corporate governance, is required. The ideal candidate will have a strong background in drafting SEC filings, including proxy statements, 10-Ks, 10-Qs, and 8-Ks, and a solid understanding of insider trading rules and Section 16 compliance. Experience in a top law firm is preferred, and in-house experience at a public company is a must. The role demands a precise, confident drafter with excellent communication skills, the ability to manage multiple workstreams, and a proactive approach to legal issues.
