Senior Corporate Paralegal

What You'll Do Support sophisticated M&A, private equity, finance, and capital markets transactions Manage due diligence and corporate records review Utilize cutting-edge AI tools to assist with transaction support Prepare and coordinate entity formations, mergers, dissolutions, and corporate governance documents Draft stock certificates, capitalization tables, written consents, and organizational documents Coordinate UCC, litigation, tax lien, and bankruptcy searches Assist with SEC filings, Form D filings, EDGAR applications, and Blue Sky compliance Support transaction closings from signature packets through final closing binders Track post-closing requirements and corporate compliance obligations Work directly with attorneys and clients on sophisticated corporate matters What We're Looking For 10+ years of corporate transactional paralegal experience AmLaw 100 law firm experience required Strong M&A, due diligence, and corporate governance background Experience supporting complex transactions and closings Exceptional organizational and project management skills Bachelor's Degree required ABA-approved Paralegal Certificate preferred Carta experience highly desired Why This Opportunity Stands Out Work on nationally significant transactions Collaborate with some of the top corporate attorneys in the country Exposure to cutting-edge legal technology and AI-enabled workflows Highly visible role within a premier legal platform Compensation ranging from $150K–$200K Discretionary Bonus Medical, Dental, Vision, 401K, and more If you're looking for a career-defining move and a platform where your expertise will be valued on the highest level, let's connect. #J-18808-Ljbffr
