Corporate Associate Attorney

A law firm seeks a high-energy Corporate Associate Attorney in Pleasanton, California. This role offers a unique opportunity for an attorney eager to take on significant responsibility in a fast-paced, collaborative environment. The ideal candidate will have over four years of experience and a passion for assisting growth-stage companies in navigating complex legal landscapes. Duties Lead and support venture capital financings, including drafting NVCA-based documents, SAFEs, and convertible notes. Manage buy-side and sell-side private acquisitions, conducting due diligence and overseeing the closing process. Act as outside general counsel for startups and privately held companies, assisting with entity formation and equity compensation matters. Review, draft, and negotiate commercial and technology agreements, including IP licensing and SaaS agreements. Serve as a primary point of contact for clients, delivering strategic legal advice aligned with business objectives. Requirements Juris Doctor degree from an accredited law school and active membership in the California Bar. 4-5 years of dedicated corporate law experience, specifically within the ECVC and M&A sectors. Strong drafting and negotiation skills for complex commercial and corporate contracts. Solid foundational knowledge of securities law exemptions and "Blue Sky" filing requirements. Familiarity with Section 1202 (QSBS) and tax optimization strategies is a plus. Education Juris Doctor degree from an accredited law school. Certifications Active membership in the California Bar.
