Office of the General Counsel - IP Contract Review Attorney

Skadden’s Office of the General Counsel (OGC) in the New York office is seeking an experienced attorney to support the firm’s contracting process. The attorney will review, draft, and negotiate three categories of contracts and other terms: (1) contracts the Firm enters into with vendors and other third parties; (2) contracts entered into in connection with representing clients, including engagements of testifying and consulting experts; and (3) client-facing terms and inquiries, such as engagement letters, Outside Counsel Guidelines ("OCGs"), Requests for Proposal ("RFPs"), and Due Diligence Questionnaires ("DDQs"). The ideal candidate will be an intellectual property attorney with at least 3 yearsof relevant legal experience, preferably gained at a law firm , and will be comfortable reviewing complex licensing, subscription, and SaaS agreements, and also comfortable reviewing and negotiating contracts outside of the IP/tech space and advising on other contract provisions affecting firm risk management. Primary duties and responsibilities may include, but are not limited to: Review, draft, and negotiate a broad range of contracts for the firm, including: Vendor contracts with significant intellectual property, technology, and confidentiality components, such as: software, SaaS, cloud, and other technology agreements licensing and subscription agreements data, content, and research tool agreements vendor and supplier agreements consulting and independent contractor agreements confidentiality and nondisclosure agreements marketing, sponsorship, publishing, and content-related agreements website, digital platform, and technology procurement agreements collaboration and strategic partnership agreements Contracts for consulting and expert services on client matters Client-facing terms and inquiries, including OCGs, RFPs, DDQs Analyze and negotiate contract provisions and advise on legal issues concerning: ownership of deliverables, work product, and derivative works license scope, permitted use, restrictions, and sublicensing use of the firm’s name, logos, branding, and marketing content data access, use rights, and retention AI- and technology-related rights, including training, input/output, and model-use provisions confidentiality, privilege, and information security obligations indemnification limitation of liability representations, warranties, and remedies Manage and assist with: Centralizing and coordinating contract review among constituents, tracking status along the contract review process Liaising with firm partners, business teams and OGC colleagues regarding negotiation of terms and risk issues Developing playbooks for various types of contracts Conducting legal research on emerging issues in AI and technology law to inform contracting strategies Staying current on industry trends and regulatory developments impacting technology Maintaining accurate records of terms negotiations to support compliance with accepted terms Ideal candidate will have excellent research, analytical, interpersonal, writing and presentation skills. Candidates must have a high level of academic achievement from an accredited law school and be admitted to the NY Bar. The base salary range for this New York position is expected to be between $135,000-$175,000 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law. Skadden’s hybrid work model consists of working Monday through Thursday in the office. Attorneys also receive the opportunity to work remotely for specified periods throughout the year.
