$90,000-$135,000 annually (Columbus/Cleveland/Chicago) Monday-Friday, Business Hours Direct Hire Why You'll Love This Job: After being hired on, the following benefits are offered: Hybrid schedule with 3 in-office days (Tuesday-Thursday) and 2 remote days (Monday & Friday) Medical, dental, vision, HSA, and 401(k) benefits Generous PTO and tuition reimbursement Employee discounts, pet insurance, and student loan refinancing assistance Family-building benefits, child care resources, wellness programs, and home loan assistance Performance-based bonus opportunity with a 1,600 annual billable hour expectation What You'll Do: Support corporate transactions, mergers and acquisitions, entity formations, and due diligence activities Prepare and file UCC financing statements, corporate governance documents, mergers, DBAs, qualifications, dissolutions, and other state filings Coordinate transaction closings, maintain electronic data rooms, prepare closing checklists, closing binders, and ancillary transaction documents Conduct lien searches, entity status research, and regulatory compliance reviews while assisting with ongoing corporate maintenance Prepare SEC filings including Form D, Forms 3, 4, and 5, Schedules 13D, 13F, and 13G, while coordinating EDGAR filing activities when applicable Collaborate with attorneys, clients, government agencies, and third-party service providers to support complex corporate transactions and post-closing activities What We're Looking For: Bachelor's degree, Paralegal Certificate, or an equivalent combination of education and experience Experience supporting corporate transactions, mergers and acquisitions, corporate governance, or entity management in a law firm or corporate legal department Strong knowledge of UCC filings, corporate filings, due diligence, entity formations, and compliance matters Experience with SEC filings, EDGAR, and public company reporting is highly preferred Excellent organizational, project management, and document preparation skills with exceptional attention to detail Proficiency with Microsoft Office, document management systems, electronic signature platforms, and virtual data rooms is a plus Strong written and verbal communication skills with the ability to thrive in a fast-paced professional services environment About Dawson Dawson is a trusted staffing partner in Central Ohio.
