AbouttheJob TheAttorneywillworkunderthesupervisionoftheGeneralCounselandprovidepracticallegal,commercial,complianceandrisk-managementcounselacrossCitnaltaConstructionCorp.’sconstructionoperations.TheAttorneywillbeinvolvedinpursuits,contractreviewandnegotiation,activeprojectmatters,claimsanddisputes,insuranceandriskmatters,andrecurringcorporatemattersworkingcloselywithProjectManagement,Operations,Estimating,ProcurementandAccounting. Thepositionrequiresstrongjudgment,responsivenessandapractical,business-mindedapproachtoproblem-solving,withanemphasisonunderstandingtheCompany’soperations,identifyingcontractualandcommercialrisksearlyanddevelopingstrongworkingrelationshipswithprojectteamstofacilitatetimelyinvolvementoftheGeneralCounsel’soffice. DutiesandResponsibilities ReviewRFPs,procurementdocumentsandownercontracts;identifycontractual,commercial,insurance,complianceandothermaterialrisks;andassistwithRFIs,bidexceptionsandqualifications. Draft,reviewandnegotiateconstruction-relatedagreements,includingsubcontracts,purchaseorders,professionalservicesagreementsandotherprojectandcommercialagreements. AdviseProjectManagersandotherpersonnelregardingcommercialandcontractualissues,includingnotices,changes,delays,scheduleissues,subcontractorperformance,defaults,backcharges,paymentdisputes,insurance,liens,claims,releasesandmaterialcorrespondence. AdvisetheGeneralCounselonsubstantiveMWBE/DBEcompliancematters,includinginterpretationofcontractualandregulatoryrequirements,developmentofcompliancestrategies,participationplansandcommitments,modificationrequests,utilizationissues,andresolutionofcomplexcompliancematters. WorkwithEstimating,Procurement,ProjectManagement,AccountingandotherresponsiblepersonneltoidentifyandaddresssubstantiveMWBE/DBEcomplianceissuesandmaintaincontinuitybetweencommitmentsmadeduringpursuitsandprojectexecutionandcloseout. SupporttheGeneralCounselinthemanagementofconstructionclaims,mediations,arbitrationsandlitigation,includingcoordinationwithoutsidecounsel,insurersanddefensecounselasappropriate. Assistwithinsuranceandriskmatters,includingownerrequirements,OCIPs,projectexposures,coverageandclaims. SupporttheGeneralCounselinmanagingrecurringlegalandcorporatematters,includingcorporatefilings,leases,CGLlitigationandothermattersrequiringlegalreview,coordination,oroversight. Participateinprojectmeetingsandperiodicsitevisitstounderstandongoingwork,identifydevelopingcommercialandcontractualrisksandbuildrelationshipsthatencourageearlyinvolvementoftheGeneralCounsel’soffice. BasicQualifications J.D.fromanABA-accreditedlawschoolandactivemembershipingoodstandingwiththeNewYorkStateBar. Approximately3–6yearsofrelevantexperience,preferablyinvolvingconstruction,commercialcontracts,insurance,litigationorclaims. Experiencedrafting,reviewingandnegotiatingcontractsandothercommercialagreements. Stronglegalresearch,analytical,drafting,negotiationandcommunicationskills. Soundjudgment,responsivenessandapractical,problem-solvingapproach. AbilitytoworkcollaborativelywithProjectManagersandotheroperationalandbusinesspersonnel. PreferredQualifications Construction,publicworks,infrastructureordesign-buildexperience. Familiaritywithpublicprocurement,MWBE/DBErequirements,constructionclaims,bonds,insurance,liensandpromptpaymentrequirements. Experiencewithmediation,arbitration,litigationorotherdisputeresolution. Experienceworkinginorwithheavycivil,transportationorpublicworkscontractors. WorkEnvironment Primarilyoffice-basedwithperiodicvisitstoactiveconstructionsites.Sitevisitsmayrequirewalkingthroughactiveconstructionareasandcompliancewithapplicablesite-specificsafetyandPPErequirements.
