Paralegal - Corporate : Corporate Finance, Venture Capital, and M&A Practice Group Hill Ward Henderson seeks a high-level corporate paralegal to take on front-line responsibility and play an integral role on its deal teams. We are looking for a motivated, hard-working leader to partner with our lawyers, serving sophisticated and recognized public and private companies as well as private equity and venture capital firms. We are offering highly-competitive compensation for this position. Job Duties and Responsibilities Prepare documents and checklists for major corporate transactions (under supervision of attorneys), and coordinate and track signing processes. Assist with due diligence, including lien and litigation searches. Work with clients and opposing counsel in deal process. Assist in organizing and dissolving entities, including work on formation certificates, tax forms, operating and partnership agreements, dissolution documents and board resolutions, and assist with the transfer of equity interests. Assist with SEC reports, SEC and Blue Sky filings and UCC filings. Assist with preparation and filing of corporate annual reports. Execute audit letter procedures (under supervision of attorneys). Job Related Experience Minimum 7 years of experience with emphasis in commercial lending and mergers and acquisitions, and basic experience with SEC filings. Exceptional multi-tasking skills with ability to quickly prioritize to meet deadlines. Exceptional verbal and written communication, including with clients. Highly organized self-starter able to work with little direction. Private law firm experience. Software skills, including use of Microsoft Office (Word, Excel and Power Point) and web-based applications. #J-18808-Ljbffr
