Role Description The Corporate Associate will be a full-time, on-site team member based in Dallas, TX. This role involves drafting, reviewing, and negotiating corporate documents, purchase agreements, and other commercial contracts. The associate will support mergers and acquisitions transactions by assisting with due diligence, preparing transaction documents, and helping coordinate closing deliverables. Day-to-day work includes advising privately held clients on corporate structure, compliance, and general business issues, as well as collaborating with senior attorneys on tax, banking, oil and gas, and real estate matters as needed. The Corporate Associate will conduct legal research, and communicate with clients, opposing counsel, and other third parties in a professional and timely manner.

Qualifications

• Strong foundation in Corporate Law, including M&A transactions.
• Demonstrated Analytical Skills and experience conducting thorough Due Diligence on corporate and transactional matters.
• Solid understanding of corporate transactions and business structures.
• Excellent Communication abilities, including clear legal writing, document drafting, and client-facing communication.
• Juris Doctor (J.D.) from an accredited law school and active license (or eligibility for licensure) in Texas.
• 3–5 years of experience in a law firm or in-house corporate role with a focus on corporate and transactional work preferred.
• Strong organizational skills, attention to detail, and ability to manage multiple matters and deadlines.
