Corporate Senior Associate Attorney

Direct Counsel is seeking a Corporate Senior Associate Attorney to join a leading full-service international law firm with a sophisticated corporate practice. The firm represents clients at the intersection of government, technology, and business and is recognized for its commitment to quality, excellence, and innovative legal solutions. Location: Boston, MA; New York, NY
Salary: $310,000–$365,000

The Corporate practice is seeking a Senior Associate Attorney with 4–5 years of post-JD experience to support clients across a broad range of corporate matters. The ideal candidate will have substantial experience advising public and private companies on corporate transactions, securities matters, capital markets, mergers and acquisitions, and matters arising throughout the business lifecycle.

• Advise public companies on ongoing SEC reporting and securities law matters.

• Advise clients on capital markets transactions and related corporate and securities matters.

• Represent buyers and sellers in mergers and acquisitions, dispositions, auctions, and carve-out transactions.

• Advise companies at all stages of growth, including business formation, corporate governance, and equity financings.

• Draft, review, and negotiate sophisticated transaction documents and other corporate agreements.

• Manage and coordinate teams on corporate transactions, working closely with clients, senior attorneys, and other professionals.

• Conduct legal research and provide strategic advice on complex corporate and securities matters.

• Work directly with clients and develop strong, trusted client relationships.

• Train, supervise, and mentor junior attorneys and contribute to the professional development of the broader corporate team.

• Collaborate effectively with attorneys across practice groups and offices to deliver comprehensive client service.

• Juris Doctor (J.D.) from an accredited law school.

• 4–5 years of post-JD legal experience.

• Experience advising public companies on SEC matters and capital markets transactions.

• Experience with mergers and acquisitions, dispositions, auctions, and/or carve-out transactions.

• Experience advising companies through all stages of growth, including business formation and equity financings.

• Strong drafting and negotiation skills.

• Experience managing transaction teams.

• Demonstrated experience training and mentoring junior attorneys.

• Admission to and good standing with the state bar in the jurisdiction where the position is based.

• Strong analytical, organizational, and communication skills.

• Ability to work effectively in a collaborative, team-oriented environment.
