Investment Funds & Private Equity Associate Attorney

Fund formation is one of the few corporate practices where the client hires you before there's a deal, and keeps you through every vintage after. A Global 100 firm is hiring an investment funds associate (2–4 years) in New York. Cravath scale — $235K–$310K depending on class year. You'd work directly with partners launching funds for established sponsors and first-time managers, with real drafting responsibility on live LPAs and a seat at the table for LP negotiations. The work includes: Forming private equity, credit, real estate, and venture funds — LPAs, subscription documents, PPMs Negotiating side letters and economic terms with institutional LPs, including ILPA-driven provisions Structuring separate accounts, co-investment vehicles, and funds-of-one Advisers Act, Investment Company Act (3(c)(1)/3(c)(7)), Reg D, and ERISA plan asset compliance What you bring: 2–4 years of private funds formation experience at a comparable firm Reps drafting LPAs, side letters, and subscription materials on live closings Working command of the Investment Advisers Act and the 3(c)(1)/3(c)(7) exemptions Strong academic credentials from a top-tier law school; New York bar admission What you get: A sponsor-side client base spanning buyout, credit, real estate, and venture strategies A specialized, portable practice that holds its value through every fundraising cycle Cravath scale ($235K–$310K depending on class year), plus bonus eligibility #J-18808-Ljbffr Lateral Link
