Job Overview The Corporate Paralegal reports to the Counsel—Corporate Governance and supports the execution of corporate governance, board operations, and compliance processes. Responsibilities Board & Committee Administration Prepare and distribute Board and committee materials Manage board portal systems Coordinate meeting logistics and schedules SEC & Governance Support Assist with proxy materials and governance disclosures Support Section 16 filings and insider trading processes Maintain governance records Shareholder & Annual Meeting Support Coordinate annual meeting logistics Track shareholder proposals and materials Governance Systems & Vendors Coordinate with board portal providers and proxy vendors Maintain governance systems and data accuracy Tracking & Documentation Maintain governance calendars and trackers Support audits and document management It is unlawful in Massachusetts to require or administer a lie detector test as a condition of employment or continued employment.
