Our client, an elite AMLAW 20 firm has engaged us in a number of high priority searches for corporate associates for its Dallas and Houston offices including: Private Equity associates in Houston with 2- 4 years of experience. This role involves advising leading private equity sponsors and corporate clients on acquisitions, dispositions, minority investments, joint ventures, and other complex transactions, as well as general corporate matters. Fund Formation associates in Houston with 3-6 years of experience advising sponsors on the formation, structuring, and operation of private investment funds, including knowledge of applicable legal and regulatory frameworks. The ideal candidate will have a demonstrated proficiency in drafting and negotiating fund documentation, managing investor negotiations, and counseling clients on ongoing compliance obligations. M&A associates in Dallas or Houston with 1-5 years of experience. This role involves advising corporate clients and private equity funds in connection with acquisitions, dispositions, minority investments, other similar transactions and general corporate matters. Candidates must have significant experience handling M&A transactions, a good understanding of corporate law and market terms and substantial experience in drafting transaction documents and effective deal management. Capital Market s associates in Houston with 1-3 years of experience. Ideal candidate will have experience representing issuers and/or underwriters in public and private securities offerings and advising clients on SEC reporting and compliance matters. Responsibilities include representing issuers and underwriters in public offerings (IPOs, follow-on offerings) and private placements, advising clients on SEC reporting requirements and compliance under the Securities Act of 1933 and the Securities Exchange Act of 1934, and drafting and review registration statements (S-1, S-3), prospectuses, offering memoranda, and related documents.
