About the Role

We are seeking an experienced Senior Corporate Paralegal to join a collaborative in-house legal team. This role provides broad support across corporate governance, entity management, litigation coordination, compliance, and strategic business transactions. Reporting directly to the General Counsel, the successful candidate will play a key role in managing corporate legal affairs while helping ensure operational efficiency, regulatory compliance, and effective risk management.

What You'll Do

Corporate Governance & Entity Management

• Form, maintain, and dissolve corporations, limited liability companies, partnerships, and other business entities.
• Prepare and maintain organizational documents, including bylaws, operating agreements, organizational minutes, stock ledgers, membership records, and partnership agreements.
• Obtain Federal Employer Identification Numbers (FEINs) and coordinate related filings.
• Maintain electronic corporate records and minute books.
• Manage annual reports and regulatory filings to ensure entities remain in good standing.
• Maintain entity databases and corporate ownership records, including legal, organizational, and governance information.
• Support licensing and qualification requirements across multiple jurisdictions.
• Coordinate with accounting and tax teams regarding newly formed or dissolved entities.
• Serve as custodian of corporate records and legal documentation.

Litigation & Legal Matter Management

• Review and coordinate responses to litigation, claims, regulatory matters, code violations, collections, liens, and other legal issues.
• Track deadlines, response requirements, and legal hold obligations.
• Maintain legal matter records within matter management systems.
• Monitor ongoing litigation and legal disputes and prepare periodic reporting summaries.
• Coordinate communications among internal stakeholders, external counsel, insurers, and other third parties.

Contract & Legal Operations Support

• Manage legal document repositories, contract management systems, and other legal operations tools.
• Support due diligence activities for corporate transactions, acquisitions, financing activities, and development projects.
• Organize closing documentation, transaction records, and signature collection processes.
• Assist with contract administration and legal workflow improvements.
• Identify opportunities to improve legal department processes, organization, and efficiency.

Minimum Qualifications

• Associate's degree, Bachelor's degree, Paralegal Certificate, or equivalent combination of education and relevant experience.
• 10+ years of paralegal experience in a law firm, corporate legal department, or public company environment.
• Experience supporting corporate governance and entity management activities.
• Strong proficiency with Microsoft Office Suite, including Word, Excel, Outlook, PowerPoint, Teams, and SharePoint.
• Experience working with document management systems, contract lifecycle management platforms, and legal technology tools.
• Excellent organizational skills with strong attention to detail and accuracy.
• Exceptional written and verbal communication skills.
• Ability to manage multiple priorities while meeting deadlines in a fast-paced environment.
• Demonstrated ability to exercise discretion and maintain confidentiality.

Preferred Qualifications

• Bachelor's degree and/or Paralegal Certification.
• 2+ years of litigation support experience.
• Experience with entity management and legal matter management software.
• Experience supporting real estate, development, corporate finance, or transactional legal activities.
• Familiarity with corporate governance, compliance, and regulatory filings across multiple jurisdictions.
