ASSOCIATE ATTORNEY – MERGERS & ACQUISITIONS Location :Atlanta, GA HYBRID Our client, a nationally recognized AmLaw 100 law firm, is seeking a highly motivated mid-level Associate Attorney to join its Mergers & Acquisitions and Corporate Finance practice in Atlanta. Candidate Profile JD from a top-tier law school with an excellent academic record Active Bar Admission in Georgia, in good standing 4–6 years of substantive experience handling mergers and acquisitions and complex corporate transactions Sophisticated law firm experience advising on complex M&A and corporate finance matters Strong experience managing private equity transactions and private‑target M&A Proven ability to manage complex deal timelines, coordinate with subject matter experts and junior team members, and oversee transaction workflows from diligence through closing Experience drafting and negotiating equity and asset purchase agreements, disclosure schedules, and ancillary transaction documents Extensive experience conducting, analyzing, and summarizing legal due diligence Exceptional attention to detail and the ability to interact effectively with clients, investment bankers, and other external advisors Excellent written and oral communication skills, strong analytical abilities, and the capacity to distill complex legal issues into practical, actionable advice Demonstrated ownership mentality, strong work ethic, and the ability to manage multiple priorities in a demanding environment Key Responsibilities Represent clients in mergers, acquisitions, divestitures, and other strategic corporate transactions, with a focus on private equity-sponsored deals Manage all phases of M&A transactions, including structuring, diligence, drafting, negotiation, and closing Draft and negotiate purchase agreements, ancillary agreements, and transaction documentation Lead and coordinate legal due diligence efforts, including supervising junior attorneys and synthesizing findings for clients Serve as a key point of contact for clients and external advisors throughout the transaction lifecycle Collaborate with attorneys across corporate, tax, finance, and regulatory disciplines to deliver integrated legal solutions Why Join Us?
