Senior Corporate Paralegal

Role The Senior Corporate Paralegal – Corporate Governance and Legal Operations will be responsible for comprehensive support of a broad range of matters, including international enterprise-wide corporate governance support, all matters relating to board of directors and committee meetings, corporate transactions, Enterprise Risk Management (ERM), entity management, and other Legal Department support across Heidrick’s business. Responsibilities Corporate Governance: board of directors and committee meetings administration – drafting agendas, resolutions, presentation materials, recordkeeping, and maintaining rolling calendars; coordinating collection and distribution of materials via Diligent Board portal; drafting meeting minutes; liaising with directors and senior management on logistics; supporting CEO event planning and managing deadlines and scheduling. Legal Operations: coordinating with Legal support staff to keep internal website up to date with policies, processes, and forms; assisting the Chief Legal Officer and Assistant Corporate Secretary with Enterprise Risk Management program and reporting to the Board on governance, sustainability and ERM matters; assisting with annual Legal Department budgeting; coordinating with external law firms and vendors for engagement, onboarding, invoicing, spend tracking, and budget analysis; coordinating with Finance for accruals and forecasting; assisting with special projects and other duties assigned by management. Transactional Support: supporting attorneys with corporate and M&A transactions; managing diligence workflows, transaction trackers, closing checklists, post-closing filings and organization; assisting with drafting and coordinating closing deliverables (offering documents, resolutions, officer certificates, governance documents); coordinating third‑party filings and ensuring reporting deadlines; preparing closing certificates, board and stockholder resolutions and other transactional documents. Entity Maintenance: assisting with formation and dissolution of foreign and domestic legal entities (corporations, LLCs, partnerships); filing documents with relevant government agencies; assisting with apostille process; managing and coordinating execution of legal agreements; assisting with KYC/AML requests; performing other related tasks and ad‑hoc projects; occasional backup coverage for global subsidiaries. Required Qualifications Minimum of ten years of hands‑on experience working in a corporate legal function. Demonstrated substantive knowledge of relevant securities and corporate laws and regulations, and exceptional legal research skills. Proven knowledge of corporate secretary department practices; ability to resolve issues and recommend solutions. Excellent written and verbal communication skills with clarity, conciseness, and solution orientation. Experience managing highly confidential information with absolute discretion; experience engaging with the Board of Directors professionally and diplomatically. Advanced experience with electronic board portals and financial printers. History of success utilizing flexible and proactive approaches to solving complex problems. Strong interpersonal skills and ability to collaborate constructively across the company and external stakeholders. Excellent planning and organizational skills; ability to manage projects and tasks with high attention to detail. Demonstrated ability to learn and apply general corporate and securities laws applicable to the company. Ability to independently organize and handle projects requiring a high degree of confidentiality. Flexibility to shifting priorities; willingness to work evenings and weekends to meet filing deadlines. Ability to travel quarterly for various Board and senior management meetings; additional travel may be necessary. Preferred Qualifications Bachelor’s Degree. Supervisory skills with a track record of coaching and mentoring others. Proficiency in PowerPoint. Experience with Diligent Board Platform. Pay Range Guidelines The salary range for this position is USD 100,000 to USD 115,000. Compensation is based on several factors including but not limited to education, work experience and skills. Note: we have a location based compensation structure; there may be a different range for candidates in other locations.
