Position Overview
We seek a skilled Associate Attorney to join our corporate practice focusing on mergers and acquisitions and other transactional matters. The role involves supporting and leading aspects of corporate transactions, conducting due diligence, drafting and negotiating agreements, advising clients on deal structure and regulatory considerations, and coordinating with internal and external stakeholders to drive transactions to successful closing.

Key Responsibilities
  • Support and lead all phases of M&A and corporate transactions, including asset and stock purchases, mergers, joint ventures, and restructurings.
  • Conduct comprehensive due diligence, identify legal and commercial risks, and prepare diligence reports and recommended mitigation strategies.
  • Draft, review, and negotiate transaction documents such as purchase agreements, disclosure schedules, merger agreements, shareholder agreements, escrow arrangements, and ancillary documents.
  • Advise clients on deal structure, regulatory compliance, corporate governance, securities issues, and post-closing integration matters.
  • Coordinate with cross-functional teams including tax, finance, HR, and external counsel to ensure seamless transaction execution.
  • Manage closing processes: prepare closing checklists, coordinate conditions precedent, and supervise the execution and delivery of transactional documentation.
  • Provide clear, practical legal advice to clients under tight deadlines, translating complex legal issues into business-focused recommendations.
  • Mentor and supervise junior associates and paralegals, including delegation of tasks, review of work product, and professional development.
  • Maintain up-to-date knowledge of market trends, case law, and regulatory developments in corporate and securities law relevant to M&A activity.
  • Assist with business development efforts, including preparing pitch materials, client presentations, and relationship-building with prospective clients.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school and admission to the state bar in good standing.
  • 2-6 years of experience as an Associate Attorney with demonstrated transactional law experience, preferably focused on corporate M&A and mergers and acquisitions.
  • Proven experience in deal negotiation, document drafting, and managing complex corporate transactions from diligence through closing.
  • Strong experience conducting and managing due diligence across multiple practice areas and jurisdictions.
  • Practical knowledge of corporate transactions, securities law considerations, and regulatory compliance impacting M&A.
  • Excellent analytical, drafting, and proofreading skills with meticulous attention to detail.
  • Strong oral and written communication skills; ability to present legal concepts clearly to clients and colleagues.
  • Demonstrated ability to manage multiple matters and deadlines in a fast-paced environment while maintaining quality and responsiveness.
  • Team-oriented mindset with experience collaborating with cross-functional teams and mentoring junior staff.
  • High level of professionalism, sound judgment, business acumen, and commitment to client service.
