Paralegal (Corporate & Securities - Technology)

Job Overview Palo Alto, California – Pillsbury is seeking a Corporate/Securities Paralegal with 3 to 6 years of experience to join its Silicon Valley office. The role supports attorneys with corporate transactions such as IPOs, mergers and acquisitions, re‑incorporations, stock option plans, and venture capital financings. The position serves technology startups, emerging growth companies, and public firms, providing a varied work experience focused on high‑tech companies, due diligence, corporate records management and blue‑sky research. Responsibilities Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley). Assist with management and maintenance of capitalization records. Aid in drafting and filing federal and blue‑sky securities filings and notices. Support attorneys in the preparation of formation and initial financing documents. Preparation and maintenance of corporate records. Assist in the preparation of closing documents and perform post‑closing tasks. Qualifications Bachelor's Degree (preferably in Business, Accounting, Finance, or related field) or equivalent and a minimum of 3 to 6 years of directly related work experience. Experience supporting IPOs from start to finish and maintaining corporate governance documents (minute books, closing binders). Experience with capitalization software (Carta, Shareworks, etc.), stock options, stock splits and cap‑table management. Excellent computer skills (DocuSign, MS Office). Proficiency in Excel including complex sorting/filtering, formulas, pivot tables, and data analysis. Basic understanding of equity compensation accounting. Strong project and time‑management skills, attention to detail, and exceptional communication and organizational abilities. Ability to maintain highly confidential information with integrity. Flexibility to work overtime as requested. ECA designation or CEP certification is a plus.
