What You Will Work OnAs Senior Legal Counsel, Corporate, you will provide strategic legal guidance on corporate governance, securities law, SEC reporting, regulatory compliance, and corporate transactions for a publicly traded company.Youwillserveasatrustedadvisortoexecutiveleadership,theBoardofDirectors,andcross-functionalbusinessteams,helpingtheorganizationnavigatecomplexlegalandgovernancematterswhilesupportinglong-termbusinessobjectives.In this role, you'll support Board and committee governance activities, public company reporting and disclosure obligations, and the managementofsubsidiaryandaffiliatedentities.Youwilladviseonsecuritieslaw,investorrelations,disclosurecontrols,financialreportingmatters,andgovernancebestpractices,whilehelpingensurecompliancewithapplicablelegalandregulatoryrequirements.You'll partner with teams across Finance, Accounting, Tax, Treasury, Internal Audit, Investor Relations, Compensation, and Information Technology to identify risks,solvebusinesschallenges,andsupportkeyinitiatives.Youwillalsoplayameaningfulroleinfinancingactivities,capitalmarketstransactions,andotherstrategiccorporateprojects,includingduediligence,governancereviews,andrelateddisclosurerequirements.As legal and regulatory landscapes continue to evolve, you will monitor developments in governance, cybersecurity, artificial intelligence, and emerging technologies, providing practical guidance on business impactsandriskmitigation.YouwillalsoleveragelegaltechnologyandAI-enabledtoolstoenhancelegalresearch,documentreview,drafting,benchmarking,andoveralloperationaleffectivenesswhilemaintainingthehigheststandardsofconfidentialityandprofessionaljudgment.Who You Will Work WithYou will partner closely with leaders and teams across the organization, including:Legal leadership teamExecutive leadership teamBoard of Directors and Board committeesAccounting, Finance, Tax, Treasury, and Internal AuditInvestor Relations and Compensation teamsInformation Technology and Cybersecurity teamsExternal advisors, auditors, and outside counselWhat You'll BringBring your energy, your ideas, and your love for the sports and outdoors.Juris Doctor (JD) from an accredited law schoolActive membership in good standing with at least one State Bar5+ years of experience in corporate law, securities law, capital markets, public company governance, or a related practice areaExperience supporting public company reporting, corporate governance, and Board-related mattersExperience advising senior executives, Boards of Directors, and cross-functional business partnersIn-house experience within a large public company or retail environment preferredWork Style and Physical RequirementsComfortable working in a collaborative, fast-paced environment with evolving prioritiesAble to manage multiple projects and deadlines while maintaining attention to detailExercises sound judgment, professionalism, discretion, and integrity when handling confidential informationRegular in-office attendance requiredAbility to perform job duties requiring standard hearing, vision, and computer usageAbility to work established company business hours and comply with company policies and proceduresKey SkillsCorporate Governance, Securities Law,SEC Reporting, Board Support, Regulatory Compliance, CapitalMarkets, Legal Drafting, Negotiation, Stakeholder Management, Project Management, Legal Technology, Communication, Problem-Solving, Judgment, IntegrityEqual Employment OpportunityAcademy is an Equal Opportunity Employer and does not discriminate with regard to employment opportunities or practices on the basis of race, religion, national origin, sex, age, disability, gender identity, sexual orientation, or any other category protected by law.​SummaryLocation: Headquarters - Katy, TXType: Full time
