Job DescriptionJob Summary:Mercury Systems Legal Department is seeking a Sr. Prin Corporate Counsel to serve as the lead Supply Chain Attorney for a defense contractor at the forefront of complex, mission-critical programs.We are looking for a proactive, independent thinker who thrives in a fast-paced environment and is eager to make a meaningful impact. If you are energized by problem-solving and identifying inefficiencies, building smarter solutions, and influencing change, you will fit right at home.This position is ideal for someone who prefers autonomy over direction—someone who navigates evolving priorities with ease, partners effectively across diverse teams, and isn’t afraid to “roll up their sleeves.” If you are motivated by tackling complex challenges and seeing your work deliver real, lasting impact—we want to hear from you.Job Responsibilities:Providing legal support, counselling, and advice to senior business officials, contracts professionals, and supply chain personnel on both the “selling side” and “buying” side of the Company’s business, as well as IP-related issuesProviding legal review and guidance on issues related to procurement, logistics, subcontractor and supplier management, and subcontractor and supplier contract negotiations in support of the Company’s U.S. Government and non-U.S.G. contractsPotentially directing other attorneys and non-attorneysDrafting and negotiating critical terms directly with customers and suppliersMaintaining and revising, as necessary, the Company’s standard template purchasing, IP and other supplier-related agreementsStructure, draft, review, and negotiate a wide range of contracts, including purchase agreements, service contracts, supplier agreements, consultant agreements, and real property leases.Advise on legal risks and business terms of various supply chain arrangements Establish frameworks, SOPs, and process improvements to help streamline reviewsEnsure compliance with applicable laws and regulations pertaining to supply chain managementEngage with Company trade compliance team to ensure compliance with customs, export controls, sanctions, and trade lawsSupport the resolution of disputes or litigation related to supply chain issuesCollaborate with internal stakeholders to develop and implement supply chain strategies and policiesPartner with and train supply chain personnel on terms and conditions and negotiationProvide contract due diligence support for the Company’s M&A activitiesAn active DoD secret clearance or the ability to obtain one. US Citizenship is required.Required Qualifications:JD degree from an accredited law school and be admitted to practice law in at least one US State.Typically requires 8+ years’ experience as an attorney; 5+ years’ experience in government contracts with a focus on supply chainDeep understanding and experience with the FAR, DFARS, and other defense-related government contracting laws, regulations, and practices with particular emphasis on the supply chainExtensive experience drafting and negotiating defense-related government contract terms, including cost-based, fixed-priced, development, and production contracts and subcontractsExtensive experience with contract changes and Requests for Equitable Adjustment (REA’s) and disputes and litigation of such contractsDrafting and negotiating all types of commercial-based contracts and agreementsDrafting and negotiating data rights and all types of IP licensing agreementsConducting due diligence as part of M&A activitiesProven ability to establish processes and SOPs from scratchAbility to travel up to 20% as needed.Preferred Qualifications:Job RequirementsWhy should you join Mercury Systems?Mercury Systems is a technology company that makes the world a safer, more secure place.
