This individual will serve as a trusted advisor to executive leadership, providing strategic guidance on legal risk, regulatory compliance, contract structuring and negotiation, insurance and claims management, corporate transactions, and commercial business operations.The ideal candidate brings a strong background in contract negotiation, compliance oversight, insurance and risk management, and mergers & acquisitions, preferably within private equity-backed or growth-oriented organizations. This role will partner closely with executive leadership, finance, operations, HR, and sales to protect the company’s interests while enabling scalable growth.MissionTo serve as a strategic legal and compliance partner to the business by proactively managing risk, supporting operational and financial objectives, ensuring contractual and regulatory compliance, and guiding the organization through growth initiatives, corporate transactions, and complex business matters.ResponsibilitiesServe as the company’s lead legal advisor on corporate governance, compliance, risk management, insurance matters, and strategic business initiativesProvide legal counsel across a broad range of business matters including commercial contracts, regulatory compliance, employment matters, dispute resolution, insurance claims, corporate transactions, and M&A activityLead the review, drafting, negotiation, and administration of customer contracts, vendor agreements, subcontractor agreements, proposals, NDAs, and other commercial documentsPartner with operations, finance, and sales teams to structure legally sound and commercially viable agreements while minimizing organizational riskOversee and manage the company’s compliance programs, ensuring adherence to applicable federal, state, and industry regulationsAdvise leadership on legal exposure, contractual obligations, insurance coverage, indemnification provisions, and risk mitigation strategiesManage insurance-related legal matters including claims coordination, policy review, renewals, broker relationships, and contractual insurance requirementsSupport mergers, acquisitions, ownership transitions, due diligence processes, and post-transaction integration activitiesManage and resolve disputes involving clients, vendors, subcontractors, employment matters, and accounting/financial issuesPartner with HR and leadership on employee relations matters, investigations, policy development, and employment-related complianceOversee outside counsel and legal vendors while managing legal spend effectivelyDevelop and implement scalable legal processes, policies, templates, and best practices across the organizationJuris Doctor from an accredited law school3+ years of experience at a law firm3+ years of in house business facing legal experiencePrivate equity experience including transactionsExperience reviewing contracts proposals and commercial agreementsWorking knowledge of employment law contract law and dispute resolutionStrong business acumen with the ability to balance legal risk and commercial objectivesExcellent communication and negotiation skillsAbility to work cross functionally with sales operations finance human resources and executive leadershipHigh level of integrity sound judgment and discretionOrganized proactive and capable of managing multiple prioritiesExperience supporting or partnering with accounting finance functions is a plusPreferred ExperienceExperience in data center construction industrial services facilities services or other field based operational industriesFamiliarity with OSHA safety compliance subcontractor vendor risk management and insurance heavy service environmentsExperience working within private equity backed organizationsBackground supporting B2B service organizations with multi state operationsExperience managing complex customer MSAs vendor agreements and operational risk frameworksBenefitsCompetitive Pay based on experience and locationAnnual Incentive ProgramLong Term Incentive ProgramPaid Time OffMedical Dental Vision plansLife Disability and other Voluntary coverage401k matchingWe are an Equal Opportunity Employer and value diversity in our workplace All qualified applicants will receive consideration for employment without regard to race color religion sex sexual orientation gender identity national origin disability or veteran status #J-18808-Ljbffr
