Corporate Counsel

Supporting securities law and corporate governance matters, the full-time remote Senior Counsel, Corporate will provide legal counsel for M&A and strategic transactions, ensuring compliance and mitigating legal risks while managing overall legal affairs. Key responsibilities Provide legal and business guidance on financing and strategic transactions, including due diligence and negotiation of M&A transactions Oversee corporate secretarial functions, including preparation for board meetings and compliance audits of domestic and foreign entities Develop and maintain policies for compliance with SEC regulations and partner with internal teams on risk management and compliance programs Required qualifications Juris Doctor (JD) degree from an accredited law school and admission to a US state bar in good standing Minimum of 7 years of legal experience, with at least 3 years in the healthcare industry as in-house counsel Experience in corporate governance, M&A, and equity compensation Strong understanding of relevant laws and regulations, including SOX and Dodd-Frank Act Ability to manage multiple projects and work independently in a fast-paced environment
