As Assistant General Counsel, Corporate and M&A, you are a dynamic individual contributor who brings elite transactional training and significant experience advising public companies on complex M&A, acquisitions, joint ventures, capital markets, securities reporting, and corporate governance. Reporting directly to the Chief Legal Officer, you will manage outside counsel, oversee key corporate initiatives, and ensure all M&A activities align with legal requirements and support the company’s strategic objectives.

What You'll Do

Location: Boston or NYC

Reports to: Chief Legal Officer

Responsibilities

• Help develop and implement the legal strategy for M&A activities in alignment with the company’s overall business and legal objectives.
• Advise the company on securities laws and reporting requirements.
• Drive best-in-class corporate governance in partnership with the CLO, including direct engagement with Axon’s Board of Directors and its committees.
• Help lead and coordinate comprehensive due diligence processes for potential M&A and capital markets transactions.
• Help manage external legal counsel.
• Partner with the Strategy & Corporate Development team to advise the business and undertake complex M&A work.
• Prepare and present legal analyses and updates on M&A activities to the executive team and board of directors.
• Draft, review, and negotiate transaction documents—including purchase agreements, term sheets, NDAs, and ancillary instruments—ensuring legal compliance and robust protection of Axon’s interests.
• Advise on and ensure compliance with securities laws.
• Liaise with regulatory authorities and manage necessary filings or approvals.
• Provide post-merger integration legal support for contract assignments, employee transitions, and regulatory compliance, resolving any legal issues during integration.
• Other duties as assigned.

What You Bring

• J.D. from an accredited institution with outstanding academic credentials.
• Admission to a State Bar within the United States.
• Minimum 5-7 years’ experience working for a top-tier law firm; in-house experience is a plus.
• Demonstrated legal expertise in M&A, securities law and corporate governance.
• Extensive experience in managing complex M&A transactions, preferably within the technology or financial services sector.
• Excellent writing, analytical, negotiation, communication, strategic thinking, and presentation skills.
• Strong understanding of corporate and securities laws, regulations, and industry standards.
• Strong leadership, attention to detail, problem solving abilities and organization/prioritization skills.
• Demonstrated ability to successfully work with a team and in a fast-paced, dynamic team environment.

Work Location

This role is based out of the NYC or Boston location and follows a hybrid schedule: on-site Tuesdays through Fridays with remote work on Mondays, unless an approved accommodation is in place.

Base Pay Range: $205,380–$300,000 USD
