In this role, you will be responsible for providing extensive paralegal and administrative support to our Corporate and M&A team, with a focus on improving and maintaining Anduril's corporate formalities, governance, and organization across its multiple U.S. and foreign entities. You will assist in the planning and execution of M&A transactions, venture financings, and stock administration while keeping the team organized and efficient. This will require skills in project management, regulatory compliance, legal research, drafting and editing, and document management. If you are someone who can adapt to evolving responsibilities, thrives in a fast-paced environment, and takes ownership of workstreams with minimal supervision, then this role is for you.What You'll DoAssist and support in the planning and execution of mergers and acquisitions, venture financings, and stock administration, including maintaining and managing complex data roomsPrepare and maintain records and documentation for all corporate governance matters including domestic and foreign entity formations and dissolutions, board and stockholder meeting minutes and consents, and entity governance documentsSupport, track, and complete various entity annual reports, business license renewals, and other corporate governance matters as neededSupport the execution of equity transactions, including the administration of stock certificates and any required securities filingsCoordinate document executions, including notarizations, apostilles, and fingerprinting, with Anduril's executive teamSupport and manage various special projects within the team as needed, with the ability to own workstreams and create fast and lightweight workflows to keep the company organized and efficientRequired QualificationsAt least 4 years of relevant experience, specifically surrounding corporate governance, entity management, and M&ABachelor's degree and a paralegal certificateDemonstrated accuracy, thoroughness, and ability to work independently and as a member of a teamPersistence to overcome obstacles and ability to complete work in a timely manner, with the ability to establish and maintain effective relationships with the executive team and employees across all levels of the companyAbility to respond promptly to internal client requests and deal with inquiries from affiliated entities, identifying issues and solving practical problems independentlyExceptional attention to detail, excellent communication and writing skills, and ability to organize and prioritize workloadAbility to adapt to a fast-paced environment and be self-motivated to take ownership of assigned tasks with little to no supervisionFlexibility to work beyond normal business hours when necessaryAbility to build strong relationships within the team and cross-functionally, including Corporate Development, Treasury, Finance, and Growth/Business DevelopmentProficiency in productivity tools such as Airtable, Slack, DocuSign, Adobe, SharePoint, and JiraProficiency in management tools such as CT Corp, hCue, and CSCA positive, team player attitude, good judgment, and eagerness to help othersMust be a U.S. Person due to required access to U.S. export controlled information or facilitiesPreferred QualificationsInterested in national security and changing the landscape of defense contractingAt least 2 years of experience with startup, defense, and/or in-house at a high-growth companyAt least 2 years of experience at a nationally recognized law firmUS Salary Range$112,000 - $149,000 USDThe salary range for this role is an estimate based on a wide range of compensation factors, inclusive of base salary only.
