Corporate Tax Counsel / Partner

A highly regarded, full-service law firm is seeking an experienced Corporate Tax Counsel or Partner to join its growing tax practice. This is an excellent opportunity for a senior tax attorney looking for sophisticated transactional work within a genuinely collaborative environment, without a formal billable hour requirement .
The ideal candidate will have 7+ years of corporate tax experience , with a particular focus on domestic M&A, partnerships, joint ventures, and other transactional tax matters . This individual will work closely with the firm's corporate and transactional teams, advising clients on the tax implications and structuring of complex business transactions.
Corporate Tax Counsel/Partner Responsibilities:
- Advise clients on the federal income tax aspects of domestic M&A transactions , including acquisitions, dispositions, reorganizations, and other strategic transactions
- Counsel clients on partnership and LLC tax matters , including formations, restructurings, joint ventures, and transactional planning
- Structure transactions with a focus on achieving clients' business and tax objectives
- Work closely with corporate/M&A attorneys throughout the lifecycle of transactions
- Advise on tax considerations associated with entity formations, investments, financings, restructurings, and other business transactions
- Serve as a trusted tax resource to attorneys and clients across the firm
- Depending on seniority, participate in client development and the continued growth of the tax practice
Corporate Tax Counsel / Partner Qualifications:
- Juris Doctor (J.D.) degree from an ABA-accredited law school
- Active membership in good standing with the applicable state Bar , or eligibility to obtain admission in the jurisdiction of the relevant office
- 7+ years of sophisticated corporate tax experience
- Strong background in domestic transactional tax , particularly M&A, partnerships, joint ventures, and corporate restructurings
- Experience gained within a respected law firm or sophisticated tax practice
- Strong technical tax knowledge paired with a practical, commercially minded approach
- Ability to independently manage matters while collaborating closely with corporate attorneys and clients
- Excellent communication, analytical, and client-facing skills
- Portable business is welcome at the Partner level, but a significant book of business is not required
