Watts & Associates is working discreetly with a highly regarded Am Law 200 ranked international law firm seeking a 4th to 6th year Private Investment Funds and Fund Formation Managing Associate to join its San Francisco, California office on an in office basis.

This is a 100 percent transactional role focused on private fund formation and investment management work, supporting a sophisticated pipeline of sponsor and investor side matters for fund sponsors and institutional limited partners.

The platform offers a collaborative, partner led environment with meaningful responsibility and direct exposure to clients across a broad range of funds and strategies, with strong mentorship and clear pathways for long term progression.

The Opportunity

You will run core fund formation workstreams and help drive matters from early structuring through launch and closing, including drafting and negotiating limited partnership agreements, private placement memoranda, subscription materials, side letters, and advisory committee governance documentation. The practice also advises on regulatory compliance issues, secondary transactions, co investment vehicles, and capital deployment matters as they arise.

Ideal Candidate Profile

The firm is seeking a 4th to 6th year Private Investment Funds and Fund Formation Managing Associate with:

• 4 to 6 years of law firm experience in private fund formation and investment management
• Experience drafting and negotiating limited partnership agreements and private placement memoranda
• Ability to manage sponsor side and investor side engagements and maintain strong client relationships
• Active California Bar membership or eligibility for prompt admission in California
• A strong academic background from an accredited law school

Compensation
