Mergers & Acquisitions Associate - Midlevel - Seattle

Davis Wright Tremaine LLP is seeking a midlevel associate to join our Corporate practice with a focus on mid-market mergers and acquisitionsin our Seattle, San Francisco, or Portland offices. This associate will work closely with partners across the corporate group to support a growing practice advising strategic buyers and sellers, private companies, and investors in a wide range of transactional matters.This role offers the opportunity to work on sophisticated middle-market transactions across a variety of industries while developing strong client relationships and taking on meaningful responsibility on deal teams.ResponsibilitiesSupport middle-market mergers and acquisitions, including buy-side and sell-side transactions for private companies and strategic investorsAssist with transaction structuring, due diligence, negotiation, and closing processesDraft and negotiate transaction documents, including purchase agreements, disclosure schedules, ancillary agreements, and closing documentationCoordinate and manage due diligence review and workstreams across deal teamsAdvise clients on general corporate governance and transactional matters in connection with M&A transactionsWork closely with partners, senior associates, and clients to manage deal timelines and deliverablesCollaborate with attorneys across the firm in related practice areas, including tax, real estate, employment, intellectual property, and technology transactionsQualifications3–5 years of experience in M&A work at a law firmExperience supporting private company mergers and acquisitions preferredStrong drafting, negotiation, analytical, and organizational skillsAbility to manage multiple workstreams in a fast-paced, team-oriented environmentDemonstrated interest in transactional practice and working on complex corporate mattersJ.D. from an accredited law school and admission (or eligibility for admission) in the state where the position is basedWhy DWTOur corporate practice advises clients on complex transactional matters across industries, with a strong focus on middle-market M&A transactions. Actual pay will be adjusted based on the candidate’s education, training, experience and other job-related factors permitted by law. Core Benefits: Full-time employees may be eligible for a comprehensive benefits package, including medical insurance (with an optional Health Savings Account), dental insurance, vision care, life insurance, and disability.Paid Time Off (PTO): Full-time employees receive sick leave benefits in accordance with the appropriate state Sick & Safe Leave Policy. Attorneys generally take approximately three weeks of vacation annually, though the exact amount may vary depending on client and firm needs.
