Position Overview: Overlay Capital is seeking an experienced Fund Controller to serve as the internal owner of fund accounting, financial reporting, treasury controls, and administrator oversight for both its innovation and energy finance platforms. The Fund Controller will be the senior internal authority responsible for ensuring that the platform’s financial information is accurate, timely, well-controlled, and institutionally credible. This individual will oversee the work of the third-party fund administrator and other accounting providers while maintaining direct ownership of the underlying numbers, processes, and controls. This is a hands-on leadership position. The successful candidate must be capable of moving comfortably between detailed reconciliations and senior-level communication with firm leadership, portfolio management, auditors, tax providers, lenders, investors, and institutional partners. Key Responsibilities Own the accounting and financial reporting processes for Energy Finance funds, parallel and co-investment vehicles, and general partner entities, including closes, NAV calculations, investor capital accounts, allocations, management fees, carried-interest calculations, waterfalls, and fund-level performance reporting. Ensure proper accounting treatment of complex private-credit terms — loan originations, staged fundings, PIK interest, original issue discount, minimum-MOIC provisions, recycling activity, and realized gains — and maintain independent schedules to validate the fund administrator’s records. Review financial statements for consistency across the general ledger, portfolio records, bank activity, and investor reporting, resolving discrepancies promptly. Serve as the primary relationship owner for the fund administrator and other service providers (tax, audit, legal, valuation, banking), setting deliverables and standards, verifying rather than simply accepting the administrator’s output, and holding providers accountable for accuracy and timeliness. Treasury, Cash & Portfolio/Credit-Facility Accounting Oversee, validate, and reconcile fund-level cash activity — capital calls, distributions, portfolio fundings, loan repayments, facility borrowings, fees, and expenses — across bank accounts, credit facilities, and fund ledgers, ensuring consistency with governing documents, liquidity, and investor allocations. Maintain cash and liquidity forecasts with portfolio management, enforce a dual-approval treasury-control process with segregation of duties, and retain authority to delay transactions when supporting information is incomplete. Maintain loan subledgers and reconcile them against legal agreements, servicing records, and bank activity; independently validate payoff and minimum-MOIC amounts before funds are released; and oversee subscription lines, warehouse facilities, and other fund-level financing. Coordinate with portfolio management on valuations, impairments, nonaccrual decisions, and restructurings, and own the translation of those decisions into the funds’ books, NAVs, and investor reporting. Audit, Tax & Compliance Lead the annual financial-statement audit from preparation through delivery, maintaining audit-ready documentation for material calculations, judgments, and controls. Coordinate preparation and review of federal and state tax returns, Schedule K-1s, and related investor tax reporting. Support regulatory examinations, due-diligence reviews, and lender or investor inquiries, and work with legal and compliance to ensure practices conform to fund documents, side letters, and policies. Process, Systems & Controls Assess the accounting and operating environment and implement a scalable control framework — documented procedures, checklists, approval matrices, and close calendars — and create a central source of truth for loan balances, fund liquidity, unfunded commitments, recycling capacity, facility availability, and investor capital. Identify opportunities to improve systems, data flow, and automation across the investment team, administrator, and banks; maintain an issues log of discrepancies and corrective actions; and develop control and accuracy reporting for senior management. Leadership & Communication Serve as the internal source of truth on financial position and capital activity, communicating NAVs, liquidity, and financial results clearly to firm leadership while partnering with — and maintaining independence from — portfolio management. Build and manage an internal fund-accounting team as the platform grows, and contribute to the design and launch of new funds, vehicles, and credit facilities. Qualifications Bachelor’s degree in accounting, finance, or a related discipline. CPA strongly preferred. Approximately 8 or more years of relevant accounting experience, including meaningful experience with private credit, private equity, real assets, or other closed-end alternative-investment funds. Prior experience as a Fund Controller, Assistant Fund Controller, Director of Fund Accounting, senior fund-administration professional, or comparable position. Demonstrated experience reviewing NAVs, partnership allocations, waterfalls, capital calls, distributions, financial statements, audits, tax deliverables, and investor capital accounts. Strong understanding of private-credit accounting, including accrued interest, PIK interest, fees, principal activity, realized and unrealized gains, credit facilities, and complex repayment provisions. Experience managing or overseeing third-party fund administrators and other external service providers. Experience building, managing, and developing an internal accounting or finance team, with the ability to scale staffing as the platform grows. Advanced Excel and financial-reconciliation capabilities; experience with private-markets accounting and portfolio-management systems is preferred. Strong understanding of internal controls and segregation of duties relating to treasury and financial reporting. Exceptional attention to detail combined with the judgment to identify which issues are material and require escalation. Ability to communicate technical accounting matters clearly to investment professionals, executives, investors, and external partners. Demonstrated willingness to take personal ownership of accuracy, deadlines, and issue resolution.
