About the Role

The Company is in search of a Senior Counsel, Transactions to join their team. The successful candidate will be responsible for leading the legal execution and closing of direct lending transactions, from structuring to post-close legal matters. This includes drafting and negotiating credit agreements, managing the full transaction lifecycle, and providing legal oversight on a portfolio of investments. The role also involves advising on special situations, such as amendments, waivers, restructurings, and developing strategies for distressed investments. The Senior Counsel will be expected to have a strong background in secured finance or lending transactions, with the ability to manage multiple deals in a fast-paced environment and provide practical, solutions-oriented legal advice. Applicants for the Senior Counsel, Transactions position at the company should hold a J.D. from an accredited law school and be an active member of the bar in at least one U.S. jurisdiction. A minimum of 4 years' experience as a transactional attorney, with a focus on secured finance or lending transactions, is required. The role demands a candidate with a proven track record in drafting, reviewing, and negotiating credit agreements, as well as a working knowledge of legal principles governing secured lending. The ideal candidate will have strong business judgment, excellent communication skills, and the ability to collaborate with both legal and non-legal teams. Responsibilities also include improving internal legal processes, conducting legal research, and supporting special projects and broader legal initiatives as needed.
