The position ensures compliance, mitigates risk, protects company interests, and supports the achievement of strategic business objectives.Qualifications Required:a Bachelor degree plus 5 years of previous experience in Real Estate closings and preparation or 10+ years of equivalent experience Juris Doctor (J.D.) degree from an accredited law school preferred, but not requiredExperience with acquisitions, dispositions, financings, entity formation, and complex contract negotiations.Strong knowledge of commercial real estate transactions and ownership structures.Understanding of affordable housing programs, senior living operations, and related regulatory frameworks preferred.Ability to identify legal risks while providing practical business-oriented solutions.Excellent contract negotiation, and analytical skills.Strong organizational skills with the ability to manage multiple priorities and deadlines.Effective verbal and written communication skills.Ability to build collaborative relationships across all levels of the organization.High degree of professional judgment, integrity, and discretion. Licenses/Certifications/Registrations: Notary public, required upon hireIf a licensed attorney, must be in good standing to practice law in State of Ohio.Functions and Responsibilities: Real Estate Transactions Provide support and oversight for acquisitions, dispositions, refinancings, recapitalizations, perm debt conversions, joint ventures, and ownership restructurings.Review, draft, negotiate, and / or interpret purchase and sale agreements, loan documents, easements, operating agreements, partnership agreements, and related transaction documents.Advise internal stakeholders on legal risks, business terms, and transaction structure considerations.Support due diligence activities, including title review, surveys, zoning matters, environmental reports, organizational documents, and contractual obligations.Coordinate with external counsel, title companies, lenders, investors, and governmental agencies throughout the transaction process.Assist with transaction closing preparation and resolution of pre-closing and post-closing matters.Corporate Governance and Entity Management Oversee formation, dissolution, merger, and restructuring of ownership entities, partnerships, limited liability companies, and affiliated organizations.Ensure all entities remain in good standing and comply with applicable filing, registration, reporting, and governance requirements.Prepare and review organizational documents, operating agreements, partnership agreements, resolutions, consents, and corporate records.Advise leadership regarding ownership structures, governance practices, and organizational risk management.Support maintenance of entity records and corporate governance documentation.Management Agreement and Contract Administration Review, and advise on property management agreements, asset management agreements and related service agreements.Ensure contractual obligations are properly documented, monitored, and administered.Provide recommendations regarding contract interpretation, amendment, renewal, enforcement, and termination.Develop and maintain contract templates and legal standards to improve efficiency and consistency.Regulatory Compliance and Risk Management Assist with litigation management, claims administration, dispute resolution, and responses to governmental inquiries, as needed.Coordinate with outside counsel on specialized legal matters, litigation, and regulatory proceedings.Department Leadership and Administration Collaborate with the SVP of Asset Management in establishing departmental goals, policies, and best practices.Assist in developing procedures that improve transaction execution, risk management, efficient document management, record retention, and corporate governance processes. Establish and cultivate a high-performance culture within the Team, supporting, coaching, mentoring, and developing team members to proactively and effectively grow their careers all while ensuring all colleagues perform at a high level in current roleWork collaboratively with and support the Team to establish clear priorities, deliverables and maintain a sense of urgency to see all activities to completion.Directly supervises and manages the performance of team members Physical Demands: Position requires extensive sitting for long periods of time throughout the day. Manual dexterity needed for computer work with keyboard and mouse. Requires talking, seeing and hearing with reasonable accommodation. Work Environment:Position requires work to be performed in an office setting located full time in the Corporate office. Extensive use of a computer and keyboard required.
