Legal Counsel - Temp

Job Description

Scope of Work: The Attorney will provide legal counsel to the acquired businesses in the areas of corporate governance, commercial contracting, regulatory compliance, and general corporate matters.

Deliverables and Services:

• Draft, review, negotiate, and advise on internal governance documents, corporate resolutions, and other legal documents related to day-to-day operations and commercial transactions.
• Develop and maintain legal templates, playbooks, and best practices to support acquisition workflows.
• Provide legal oversight on integration activities, including commercial terms and operational harmonization.
• Negotiate with existing, new, and renewing customers.
• Have a deep understanding of the technology space and be able to close deals with limited supervision.
• Draft and review legal correspondence, memoranda, and opinions as needed.
• Advise and collaborate with Finance, Tax and Mergers and Acquisitions teams on legal matters arising from corporate transactions.
• Manage and oversee due diligence documentation and closing records for acquisitions.
• Oversee maintenance and accuracy of corporate record books and entity management systems.
• Establish and maintain legal filing systems and document retention protocols.
• Perform other legal projects or duties as assigned, including cross-functional matters involving finance and accounting.

Qualifications

Qualifications and Skills:

• Must be highly detail-oriented with the ability to independently analyze and draft complex legal documents.
• Highly organized with the ability to manage multiple concurrent matters.
• Strong prioritization skills.
• Self-motivated with the ability to exercise independent legal judgment.
• Ability to multi-task effectively in a fast-paced environment.
• Excellent written and verbal communication skills, including the ability to present legal analysis to senior leadership.
• Ability to properly handle confidential information and records.
• Willing to perform all levels of work.
• Proficient in Microsoft Office (Word, Excel & Outlook).
• Experience in a corporate legal department or law firm corporate practice required.
• Experience with corporate governance and entity management required.

Education and Experience

• Juris Doctor (J.D.) from an ABA‑accredited law school.
• Active bar admission in at least one U.S. jurisdiction.
• 3 or more years of relevant legal experience in corporate law, M&A, or governance.
