Financial Diligence Associate

Invision Capital is seeking a highly motivated and analytical Associate to join its private equity team. This role will be responsible for leading and supporting financial due diligence activities across platform acquisitions, add-on acquisitions, and portfolio company initiatives. The successful candidate will play a critical role in validating earnings quality, analyzing working capital requirements, and supporting post-closing transaction matters. This position offers a unique opportunity to perform the work typically conducted by Transaction Advisory Services (TAS), Deal Advisory, and Financial Due Diligence professionals while working directly within a private equity environment and partnering closely with investment professionals, operating executives, portfolio company management teams, lenders, and third-party advisors. The ideal candidate will possess 7-10 years of experience in financial due diligence, transaction advisory services, audit, accounting advisory, corporate development, private equity, or a related field. Key Responsibilities Lead and execute financial due diligence engagements for prospective platform acquisitions and add-on acquisitions. Develop diligence scopes, project plans, and information request lists. Analyze historical financial statements, monthly operating results, and management reporting packages. Assess quality of earnings, recurring EBITDA, revenue trends, gross margin performance, operating expenses, customer concentration, and key business drivers. Identify and quantify normalized EBITDA adjustments. Analyze seasonality, earnings sustainability, and potential transaction risks. Evaluate cash flow generation and operational performance trends. Prepare executive-level diligence reports, presentations, and investment committee materials. Present findings and recommendations to investment professionals and senior leadership. Working Capital & Transaction Support Evaluate historical net working capital requirements and establish target working capital levels during acquisitions. Support negotiation and documentation of working capital mechanisms within purchase agreements. Perform post-closing net working capital true-up analyses and settlement calculations. Assist with transaction-related financial modeling and acquisition analyses. Third-Party Diligence Oversight Review and challenge third-party Quality of Earnings reports, working capital analyses, and diligence findings. Assess the completeness, reasonableness, and accuracy of third-party analyses. Summarize key findings, risks, and recommendations for internal stakeholders. Perform quarterly reviews of EBITDA adjustments and earnings normalization items across portfolio companies. Evaluate consistency of adjusted EBITDA calculations utilized for lender reporting, covenant compliance, and valuation purposes. Support operational improvement initiatives by identifying accounting, reporting, and financial process opportunities. Reporting & Analysis Prepare concise executive summaries highlighting key financial, operational, and transaction-related findings. Develop dashboards, KPI analyses, and reporting tools for transaction and portfolio monitoring purposes. Maintain diligence templates, best practices, and transaction playbooks to improve efficiency and consistency across engagements. Qualifications Required Bachelor\'s degree in Accounting, Finance, Economics, or related field. 7-10 years of relevant professional experience. Prior experience within Financial Due Diligence and Audit practices. Strong understanding of quality of earnings analyses, EBITDA normalization, working capital analyses, financial statement analysis, purchase agreement financial provisions, and M&A transaction processes. Advanced Microsoft Excel and financial analysis skills. Strong written and verbal communication skills. Ability to manage multiple projects simultaneously in a fast-paced environment. Preferred Experience serving private equity clients. Experience reviewing or preparing Quality of Earnings reports. Experience with lower middle-market and middle-market transactions.
