Real Estate Attorney The Real Estate Attorney is responsible for providing legal services across real estate acquisitions, dispositions, leasing, financing, and asset management activities. This role supports the full lifecycle of real estate transactions and ensures legal compliance, risk mitigation, and alignment with established fee structures and operational practices. Key Responsibilities Negotiate and draft letters of intent (LOIs), purchase and sale agreements (PSAs), and related transaction documents. Review title, survey, easement agreements, and prepare summaries and risk assessments. Draft, review, and negotiate commercial leases and lease amendments, including NNN and complex lease structures. Work closely with the acquisition, disposition, and leasing teams, including assisting in any business decisions and discussions. Prepare lease abstracts and summaries for internal stakeholders. Support acquisition and disposition closings, including preparation and review of entity, loan, and closing documents. Draft and review confidentiality agreements, access agreements, and listing agreements. Prepare board memorandum and internal approval documentation. Handle real estate-related legal matters related to ownership, including landlord consents, SNDAs, easements, and loan modifications. Conduct legal research and provide legal opinions on real estate and transactional issues. Monitor and manage outside counsel on transactions, litigation, insurance claims, and complex financing matters. Support structuring and documentation of real estate investment vehicles, including Delaware Statutory Trusts (DSTs). Review and revise private placement memoranda (PPMs), trust agreements, asset management agreements, and master leases. Transaction Complexity Handle Tier I (routine) matters such as single-tenant acquisitions, standard leases, and basic amendments. Handle Tier II (complex) matters including multi-tenant transactions, large-scale deals, non-standard lease structures, and high-value transactions. Qualifications Juris Doctor (JD) from an accredited law school. Licensed to practice law in at least one U.S. jurisdiction. 5+ years of experience in real estate law, preferably with retail transactions. Strong experience in acquisitions, leasing, title review, and financing. Experience representing owners, developers and borrowers in complex real estate transaction matters. Familiarity with REIT structures and commercial real estate investment platforms preferred. Experience working with or managing outside counsel. Experiencing delegating lower-level work and supervising paralegals. Skills & Competencies Strong contract drafting and negotiation skills. Ability to manage multiple transactions simultaneously. Detail-oriented with strong analytical and problem-solving abilities. Business-oriented mindset with ability to assess legal risk in commercial context. Excellent written and verbal communication skills. Ability to work cross-functionally with acquisitions, asset management, and executive teams. Work Environment, Location & Schedule This role operates within an in-house legal department supporting a real estate investment platform and collaborates closely with internal stakeholders and external counsel. This position is ideally based in Cincinnati, Ohio or the Park City / Salt Lake City, Utah area, where the Company maintains a strong operational presence. The role is designed as a hybrid position, with an expectation of regular in-office collaboration alongside flexibility to work remotely. In-office time will be coordinated to support team collaboration, transaction execution, and cross-functional engagement. Fully remote work arrangements may be considered for an exceptional candidate with significant relevant experience who can demonstrate the ability to effectively operate in a highly independent, transaction-driven legal environment.
