Position Summary
The Corporate Counsel supports the Legal Department by providing practical, business-oriented legal advice across a variety of matters affecting the organization. As a legal generalist, this role will have broad responsibility for commercial contracting while also supporting litigation and disputes, corporate governance, and other corporate legal matters.
The Corporate Counsel will work closely with senior members of the Legal Department and business partners throughout the organization to identify and address legal issues, support business objectives, and appropriately manage risk. The role is expected to develop increasing independence and responsibility over time while exercising sound judgment regarding when matters require consultation, escalation, or additional legal support.
Responsibilities
- Draft, review, negotiate, and manage a variety of commercial agreements, including property management agreements, non-disclosure agreements, master service agreements, construction-related agreements, amendments, assignments, and other commercial contracts.
- Provide practical legal guidance to internal stakeholders regarding contractual rights and obligations, commercial relationships, operational issues, and other day-to-day legal matters, with support from senior attorneys as appropriate.
- Review and analyze contracts and other legal documents provided by clients, owners, vendors, and other third parties, and clearly communicate material terms, obligations, risks, and recommended actions.
- Support the management of litigation, pre-litigation disputes, regulatory inquiries, investigations, and other contested matters, including coordinating with outside counsel, gathering information and documents, conducting legal research, and assisting with matter strategy and resolution.
- Support corporate governance and entity management matters, including preparation of corporate documents and approvals, maintenance of corporate records, entity formations and qualifications, and other organizational matters.
- Support the development, maintenance, and continuous improvement of contract templates, legal forms, playbooks, knowledge resources, workflows, and other Legal Department processes.
- Assist with the coordination, tracking, and timely completion of contracts, legal requests, projects, and other matters assigned to the Legal Department.
- Participate in special projects and other legal, transactional, compliance, governance, employment, insurance, and risk management matters as needed.
Education and Experience
- Juris Doctor (J.D.) from an accredited U.S. law school.
- Licensed to practice law and in good standing in at least one U.S. jurisdiction.
- Three or more years of relevant legal experience as an attorney in a law firm, corporate legal department, or comparable environment.
- Experience working with real estate, property management, multifamily housing, or a related industry is preferred but not required.
- Knowledge of fundamental commercial contract principles, including contract structure, interpretation, drafting, negotiation, and risk allocation.
- Strong legal research, analytical, and problem-solving skills, with the ability to identify relevant legal issues and develop practical recommendations.
- Strong drafting and contract-review skills with excellent attention to detail.
- Ability to understand business objectives and provide legal advice that appropriately considers legal risk, operational needs, and commercial realities.
- Ability to distinguish routine matters from issues requiring additional analysis, escalation, or involvement of senior attorneys.
- Excellent written and verbal communication skills, including the ability to explain legal concepts clearly and succinctly to non-legal audiences.
- Strong organizational, project management, and time-management skills, with the ability to manage multiple matters, establish priorities, follow through, and meet deadlines.
- Ability to work independently on assigned matters while collaborating effectively with attorneys, business partners, and cross-functional teams.
- Sound judgment, intellectual curiosity, initiative, and a demonstrated willingness to learn new areas of law and take on increasing responsibility.
- Ability to build productive working relationships and provide responsive, service-oriented support to internal business partners.
- Ability to maintain the highest standards of integrity, professionalism, discretion, and confidentiality.
- Proficiency with Microsoft Office applications and Adobe Acrobat. Experience with contract lifecycle management, matter management, electronic signature, or other legal technology platforms is preferred.
Qualifications
Physical Requirements:
- May be required to sit or stand for extended periods of time
- Must be able to read documents, computer screens and data
- Must be able to hear and understand verbal communications in person and over the phone or computer
- May occasionally be required to lift or carry items such as files or office supplies weighing up to 15 pounds
- Must be able to operate a computer, keyboard, mouse and other office equipment
Work Environment:
- This is either a hybrid role or a remote role. The hybrid role requires the associate to work in one of our corporate or regional offices three or four days per week based on managers' discretion.
- The office is an open setting which may include bright lights, constant noises and distractions.
- This role may require overnight travel quarterly.
- If remote, the associate must reside and work from within the US (some locations excluded), have a dedicated workspace with stable and secure broadband internet connection and work during regular business hours in the Eastern, Central, Mountain or Pacific time zones.
