The legal support and counsel primarily includes supporting the corporate legal function and various other functions (including finance, treasury, tax, pensions, HR, etc.) but may connect to other commercial and litigation matters, and various global projects. Through the provision of legal counsel and guidance, the Associate Legal Counsel role ensures that business activities comply with all relevant laws, regulations and ethical standards globally. Key Job AccountabilitiesAdvise on a number of corporate projects (including as Lead), including those relating to tax, pensions, legal restructurings, treasury matters, subsidiary management and other corporate mattersSupport the management (including draft, review, revision, negotiation, completion, renewal, etc.) of a wide range of agreements and/or clauses, including commercial agreements, banking / treasury documents, terms of engagement for advisers and consultants, etc. Identify and analyze legal issues, drafting applicable key documents, presenting clear recommendations and ensuring compliance. Evaluate and provide advice on legal risk with associated business opportunitiesPartner with Human Resources in applicable employment-related mattersManage litigation, arbitration and other aligned matters of representationParticipate in legal briefings, acting as the organizational representativePrepare for and participate in the resolution process of disputes (e.g. governmental investigation, tax, etc.)Subsidiary Governance & Compliance including Implementing governance frameworks, managing legal entity compliance and maintaining accurate corporate recordsSupport adherence to a legal budget for the practice group, including costs for internal salaries, training, travel and outside legal and professional expensesIdentify and analyze legal issues, drafting applicable key documents, presenting clear recommendations and ensuring complianceQualifications/RequirementsLaw degree (minimum LLB / Juris Doctorate) required with qualification to practice in applicable country/ies1-2+ years’ legal & compliance experience in first-class law firm and/or in-house legal environmentStrong preference for a US or UK-qualified solicitor with top-tier law firm training or experienceExperience in commercial contracts (including procurement contracts), corporate law and general compliance requiredExperience in partnering with and managing external counsel highly preferredExperience in packaging industry, and B2B environment preferredSome experience with labor and employment matters is a plusExperience with M&A is a plusExperience of Pensions mattersSome experience of UK company law and company filings is a plusExperience of legal entity management in a multi-jurisdictional business is a plusUp to 25% travel.
