Responsibilities

• Review issue spotting, drafting choices, defined terms, closing conditions, and risk allocation from the perspective of experienced deal counsel.
• Identify legal conclusions that depend on missing facts, jurisdiction‑specific authority, or negotiated market terms.
• Provide precise corrections and explain how strong transactional judgment balances legal protection with commercial objectives.
• Collaborate asynchronously with Alpheva's research and evaluation teams.

Required Qualifications

• Active US bar membership and 6+ years practicing corporate or transactional law
• Substantive experience with M&A, venture financing, private equity, or public‑company governance
• Strong issue spotting, drafting judgment, and command of market transaction terms
