About the Role

The Company is in search of an Assistant General Counsel with a focus on M&A law to join their dynamic team. The successful candidate will be a senior transactional attorney with a minimum of 8 years' of relevant experience, including a strong background in insurance M&A and reinsurance. This role is pivotal in leading the structuring, negotiation, and execution of complex domestic and cross-border transactions, particularly in the areas of in-force blocks, coinsurance, modco treaties, and related financing arrangements. The Assistant General Counsel will also be responsible for serving as a trusted advisor to various internal stakeholders, managing outside counsel, and staying abreast of legal developments that impact (re)insurance M&A. Applicants for the Assistant General Counsel position at the company should hold a J.D. from an accredited U.S. law school and be an active member in good standing of at least one U.S. bar. Direct experience with reinsurance is a mandatory requirement, and a working knowledge of block reinsurance and loss portfolio transfers in both domestic and cross-border transactions is essential. The role demands a professional with a proven track record in leading and negotiating complex agreements, strong knowledge of risk transfer issues, and the ability to translate legal concepts into business terms. The ideal candidate will have excellent client management skills, sound ethical and legal judgment, and the ability to work both independently and as part of a cross-functional team.
