Senior Associate Attorney – Corporate & Transactional
VZN LLP, a seven-attorney business law firm in Southern California, is seeking an experienced corporate attorney to join its transactional practice as a Senior Associate. Our clients range from VC-backed startups and emerging companies to established, privately held businesses. California-licensed attorneys with 5–10 years of corporate and transactional experience are encouraged to apply.

Position Overview
Our ideal candidate brings 5–10 years of broad corporate experience and can run deals and client relationships independently. You will be a primary point of contact for founders, executives, boards, and investors across the full life cycle of a business.

Typical work includes:

Venture capital financings for companies and investors, from seed through later-stage rounds

Mergers and acquisitions, including asset and stock purchases, mergers, and diligence

Entity formation, capitalization, and ongoing corporate governance

Drafting and negotiating commercial contracts, including SaaS, licensing, vendor, and services agreements

Securities law compliance, including private placements and exempt offerings

Coordinating with the firm's employment, privacy, and real estate teams on cross-practice matters

The role offers significant direct client contact and the opportunity to grow a book of business. Successful VZN LLP attorneys are organized, strategic, and comfortable working on tight deadlines.

Qualifications

5+ years of corporate and transactional experience, ideally including time at a large or mid-size firm

Hands-on experience leading venture financings and M&A transactions

Strong academic credentials

Exceptional drafting, negotiation, and communication skills

Ability to manage multiple deals independently with minimal supervision

High level of motivation, initiative, and a strong work ethic

Preferred: based in or near Los Angeles

Pay: $175,000–$275,000 base salary annually. This is the presently anticipated low and high ends of VZN's pay range for this position. Actual base pay will depend on experience, location, and tiered billing targets. Additional compensation, including performance-based bonuses, may be available. VZN LLP ties total compensation to billable rates, yield, and other factors that reward exemplary performance.

Location & Start Date
This position is hybrid and based in Los Angeles. Candidates in the Los Angeles area are preferred; exceptional California-based remote candidates will be considered, and the firm has colleagues throughout Southern California. The position is available immediately. Candidates will be interviewed on a rolling basis, with some flexibility on the start date.
