Corporate Associate (4–6 Years) – M&A Focus (San Francisco)

Direct Counsel represents a well-regarded Am Law firm seeking a mid-level Corporate Associate to join its San Francisco office. This is an excellent opportunity to work on a broad range of corporate and transactional matters, with a strong emphasis on mergers and acquisitions.

The role offers hands-on experience advising companies and founders across their lifecycle, including outside general counsel work, governance, and strategic transactions.

What You’ll Do:

• Lead and support M&A transactions from diligence through closing
• Draft and negotiate commercial agreements and transaction documents
• Advise clients on corporate governance, entity formation, and ownership transitions
• Support financings and general corporate matters for companies and pass-through entities
• Work closely with clients and senior attorneys on strategic business decisions

What We’re Looking For:

• 4–6 years of corporate/M&A experience at a law firm
• Strong drafting, negotiation, and deal management skills
• Experience with corporate governance, securities compliance, and entity formation
• Ability to independently manage key aspects of transactions and coordinate deal teams
• Strong academic credentials and excellent communication skills
• Active California Bar admission
