Assistant General Counsel

Assistant General Counsel We are seeking an experienced and practical Assistant General Counsel to join the Legal team. Reporting to the General Counsel, this role will serve as a key advisor to senior leadership across a global enterprise. Compensation: Base salary up to $240,000 per year, eligibility for a short‑term incentive target of 30% of base salary, $60,000 annual long‑term incentive grant target, flex time off within established guidelines, and a comprehensive benefits package. DUTIES & RESPONSIBILITIES Support the General Counsel in advising Pursuit Executive Leadership and the Board of Directors on corporate governance matters, and prepare materials and information for Board and Committee meetings. Manage and oversee SEC filings, including Section16 reporting, Forms10‑K,10‑Q,8‑K, proxy statements and other required disclosures, while collaborating with internal stakeholders and external advisors on disclosure requirements. Support M&A transactions, including due diligence, risk assessment, coordination with cross‑functional teams, and collaboration with outside counsel both in the United States and internationally. Offer day‑to‑day legal advice directly influencing business strategy for the global enterprise (currently including the United States, Canada, Costa Rica and Iceland). Draft, review and update documents as necessary, including but not limited to committee charters, insider trading policies, governance guidelines, policies & procedures and codes of business conduct. EDUCATION Candidate must have a J.D. from an ABA‑accredited law school. Must possess active bar membership in good standing in at least one U.S. jurisdiction. SKILLS, QUALIFICATIONS & EXPERIENCE Minimum 7 years of experience advising on a wide range of corporate, business and commercial matters. Relevant legal experience, particularly in securities law and M&A, preferably at a public company. Strong working knowledge of SEC regulations and public company reporting obligations. Proven experience with vendor contract work and collaboration with cross‑functional groups. Excellent drafting, negotiation and analytical skills. Keen pragmatic business sense with solid judgment, providing solutions‑oriented advice. Ability to multitask and work efficiently in a fast‑paced, high‑volume environment. High level of professionalism and ability to interact with executive leadership and board members. ADDITIONAL INFORMATION This is an office‑based position with a fast‑paced, deadline‑driven work environment. Strong organizational skills and the ability to manage multiple tasks efficiently are required. Collaboration with internal departments and external counsel will be frequent. Occasional extended hours may be required to meet project deadlines or urgent legal matters. Prolonged periods of sitting at a desk and working on a computer, occasional lifting of files, binders, and legal documents up to 15 pounds, and occasional travel for meetings or corporate events are part of the role.
