Senior Legal Counsel

Exciting opportunity to join Legal team of financial services institutionRole will focus on securitizations, ABS, CMBS, CLOs and Structured ProductsAbout Our ClientFinancial services institution.Job DescriptionRole will report directly to the Deputy General Counsel and will handle the following:Participation on Transaction Review Committee; review and negotiate engagement lettersPrimary support for CLO deal team on approved transactions (manage external counsel, etc) and on ABS, CMBS transactions, some review of diligence filesReview term sheets & offering documents, note purchase agreements, placement agreements on transactions (144 A deals)Provide legal support to loan trading business, specifically the negotiation of referral agreements and future development of loan trading capabilitiesProvide negotiation of confidentiality agreements relating to loan trading businessTrack regulatory developments/litigation/new legal issues having an effect on mortgage businessThe Successful ApplicantJD from top law school with excellent academic credentials and GPAAdmitted to NY State Bar7+ years of experience, gained at a top law firm, in-house or combination thereofExperience representing underwriters, issuers, sponsors and/ or managers in a wide range of CMBS, RMBS, CLO, consumer loans and other asset-backed financings, consisting of registered public offerings, exempt transactions and cross border offeringsFamiliarity with broker-dealer regulation, Dodd Frank, Reg AB, CFPB, state and federal regulations impacting various fixed income and derivative products and asset classes (RMBS, CMBS, CLO, consumer loans, CDS, ABS, TRS, etc.).Experience analyzing legal and regulatory issues in area of practice and provide effective counsel to clients on complex legal mattersExcellent written and verbal communication skillsTeam playerWhat’s on OfferCompetitive base salaryBonusAdditional benefitsWork/life balanceHybrid roleContactJennifer PettigrewQuote job refJN- Job summaryFunctionLegalSubsectorLegal SubsectorIndustryFinancial ServicesLocationNew YorkContract typePermanentConsultant nameJennifer PettigrewJob referenceJN- Page ExecutiveJennifer Pettigrew Senior Partner Jennifer is a Senior Partner and Global Practice Leader for Page Executive’s Legal Practice, where she heads the U.S. In-House Attorney Recruitment Division.
