Corporate Paralegal
Direct Counsel is partnering with a nationally recognized Am Law firm seeking a Corporate Paralegal to support their Los Angeles Office. The ideal candidate will have 3-10+ years of experience and an ABA-approved paralegal certificate.
In this role, you will be supporting attorneys that have experience with a broad range of transactional and governance matters such as:
- Mergers and acquisitions
- Private equity
- Publicly and privately traded securities
- Corporate maintenance and formation
- Corporate finance
- Licensing
- Venture capital financing
Duties include, but are not limited to:
- Drafting and reviewing organizational documents, including articles of incorporation or dissolution, stock certificates, and merger agreements
- Drafting contracts, such as non-compete agreements
- Creating and distributing annual reports
- Preparing and filing UCC financing statements
- Preparing summaries of corporate statutes
- Assisting with due diligence, including preparing, reviewing, and commenting on due diligence documents, due diligence document inventories, and disclosure schedules
- Maintaining client minute books and stock ledgers
- Preparing and filing documents with government agencies, such as the SEC, IRS and Secretaries of State of multiple jurisdictions
- Obtaining EINs
- Overseeing the contract process, including planning, collaboration, negotiation, and execution
Compensation & Benefits
Salary range: $100,000 – $140,000 annually
