Capital Markets Associate — Midtown Manhattan

Our client, a prestigious and well-established Midtown Manhattan law firm , is seeking a Capital Markets Associate to join its sophisticated corporate and securities practice.

This is an outstanding opportunity for a high-performing associate who enjoys sophisticated issuer- and underwriter-side capital-markets work but is looking to transition from the intensity and scale of BigLaw to a more sustainable platform. Position

The successful candidate will work on a broad range of capital-markets and securities matters, including:

• Public offerings and registered securities offerings
• Initial public offerings, follow-on offerings, and other equity offerings
• At-the-market, or ATM, programs
• Form S-1 and Form S-3 registration statements
• Form F-1 and Form F-3 registration statements for foreign private issuers
• Securities Act of 1933 and Exchange Act of 1934 compliance and reporting matters
• Public-company corporate governance, periodic reporting, and disclosure issues
• Capital-raising transactions and ongoing counseling for public-company clients

The role offers meaningful responsibility, sophisticated deal exposure, and the opportunity to take ownership of substantial portions of transactions while working closely with experienced partners.

Candidate Profile

Ideal candidates will have:

• Approximately 3–6 years of relevant capital-markets experience
• Recent experience at an Am Law 100 law firm
• Demonstrated experience handling public offerings, IPOs, registered offerings, ATM programs, and related SEC registration work
• Familiarity with Form F-1, and F-3 filings
• Strong working knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934
• Excellent drafting, analytical, organizational, and client-service skills
• A strong academic record, including graduation from a top law school and a high GPA
• New York bar admission or eligibility to waive into New York
