Corporate Legal Counsel

We’re looking for a Corporate Counsel to join our client’s global Legal team. This person will report directly to the GC and will be part of a team covering a broad range of securities, corporate governance, and related corporate legal matters, including SEC disclosure obligations, debt refinancings and restructurings, equity plan administration, tax reorganizations, and oversight of subsidiaries around the world. It’s an opportunity to work alongside a motivated, resourceful team at a large, multinational organization.

This is a hybrid position requiring three days per week on-site.

Key Responsibilities Include:

• Drafting and/or reviewing filings required under the Securities Exchange Act of 1934, including the annual proxy statement, Form 10-K, Form 10-Q filings, 8-K reports, and Section 16 filings.
• Advising on investor relations materials, such as earnings releases, earnings call scripts, investor presentations, and related communications.
• Supporting the corporate secretary’s office, including board- and committee-related matters.
• Supporting corporate finance transactions, including debt and equity offerings.
• Handling equity compensation matters, including administration of the stock incentive plan and employee stock purchase plan.
• Advising on executive compensation and other compensation-related matters.
• Assisting with internal tax reorganizations and other tax planning initiatives.
• Overseeing global subsidiary matters, including cash repatriation and intercompany agreements.
• Supporting M&A transactions, including antitrust and other regulatory work.
• Partnering with cross-functional teams such as Finance, Investor Relations, Tax/Treasury, and Human Resources.

What We’re Looking For:

• Bachelor’s degree and a JD from an accredited law school.
• Five or more years of focused experience in securities and corporate governance matters, gained either advising public-company clients at a large law firm or working in-house on a public company’s securities function.
• Licensed to practice law in at least one U.S. state.
• A demonstrated background in, and genuine interest in, securities and corporate governance work.
• Strong knowledge of public-company reporting, disclosure, and compliance obligations.
• Excellent oral, written, and interpersonal communication skills, with the ability to translate complex legal concepts into clear, concise, and practical advice and work product that supports business goals.
• Highly organized, with a strong ability to multitask.
• Meticulous attention to detail and accuracy, along with comfort operating in a fast-paced environment.
• Unwavering ethics and integrity in every engagement.
• A collaborative, collegial team player who builds positive working relationships through empathy, respect, and professionalism.
• A self-starter with a genuine desire to learn and grow in a dynamic environment.
• General familiarity with finance and/or accounting concepts.
• Salary Range: $155,250-$258,750 USD annually. This range reflects a good‑faith estimate of the expected salary for this role, based on factors such as qualifications, experience, training, operational needs, and other considerations permitted by law. It is uncommon for someone to be hired at or near the top of this range.
• Bonus: This role is eligible for a discretionary annual bonus, in an amount determined by the Company (or as applicable).

• This is a hybrid role. Candidates must live within a reasonable commuting distance of the Company’s site and be able to work on‑site three days per week.
