Senior Corporate Counsel

The North Road Company (“North Road”) is a global, multi-genre film and television studio founded in 2022 by Peter Chernin. Its portfolio includes Chernin Entertainment, North Road Television, and Kinetic Content, the studio behind hit unscripted franchises including Love Is Blind, The Ultimatum, and Perfect Match. Since its launch, North Road has expanded its global footprint through Karga Seven, with operations in Turkey, and Perro Azul, a leading Mexican production company, while also investing in distinctive creative businesses including Words + Pictures, Peyton Manning’s Omaha Productions, Questlove and Black Thought’s Two One Five Entertainment, Chris Paul’s Ohh Dip!!! Productions, and generative AI studio Promise.

In May 2026, North Road was acquired by Mediawan, a leading independent European studio group. Together, the companies form a global independent studio platform with creative operations across multiple continents and capabilities spanning scripted film and television, unscripted entertainment, documentaries, and other premium content. North Road and its labels serve as Mediawan’s North American hub.

Position Overview

North Road is seeking an experienced Senior Corporate Counsel to join its legal team and advise on a broad range of corporate and transactional matters across North Road and its subsidiaries.

The role will support corporate matters including M&A, investments, joint ventures, strategic partnerships, corporate governance, commercial agreements, and executive and employment matters. The Senior Corporate Counsel will serve as the primary internal legal resource for corporate matters, working closely with Company leadership, business teams, portfolio companies, the People team, and outside counsel.

The ideal candidate is a well-rounded corporate attorney with broad experience across a range of legal matters, strong legal judgment, and a practical, solutions-oriented approach. This person should be a proactive self-starter who is comfortable working independently, managing multiple matters at once, and serving as the primary internal legal resource for all corporate matters.

This role is based in Playa Vista, CA and is expected to work in the office at least 4 days per week.

Responsibilities

• Handle a broad range of corporate legal matters across North Road and its subsidiaries companies, including the following:
• Advise on M&A transactions, investments, joint ventures, partnerships, financings, and other corporate transactions. Manage transactions from inception through closing, including diligence, drafting and negotiating transaction documents, coordinating outside counsel, and supporting post-closing matters.
• Advise on corporate governance matters, including entity formation and maintenance, organizational documents, corporate records, and related legal administration.
• Draft and negotiate executive employment agreements, offer letters, consulting agreements, incentive documents, separation agreements, and other employment-related documents in coordination with the People team.
• Draft and negotiate commercial agreements, including NDAs, vendor and services agreements, consulting agreements, and license agreements.
• Support the Company’s legal compliance function, including advising on compliance with applicable laws and regulations.
• Advise on data protection and privacy matters, including data processing, data sharing and vendor terms, participant and talent data, cross-border transfers, incident response, and compliance with applicable privacy laws.
• Oversee corporate insurance matters, including working with brokers and business teams on program design, placement, and renewals; reviewing insurance and indemnification provisions in transaction and commercial agreements; and coordinating claims, tenders, and coverage analysis with carriers and outside counsel.
• Manage the Company’s trademark portfolio in coordination with business teams and outside counsel, including clearance, filings, renewals, enforcement, and related matters across North Road and its portfolio companies.
• Provide legal advice to Company and business teams on corporate, contractual, governance, and other legal matters.
• Develop and maintain legal templates, policies, and processes as needed.
• Coordinate with outside counsel on transactions, disputes, and other matters requiring additional legal support.
• Assist with other legal matters and projects as needed.

Requirements

• J.D. from an accredited law school and active membership in good standing with the State Bar of California.
• At least 6 years of relevant legal experience working at an in-house legal department overseeing a broad array of legal matters, including M&A, transactional, governance, and commercial matters.
• Experience in media, entertainment, production, or related businesses is strongly preferred.
• Strong drafting and negotiation skills and experience working on complex transaction documents.
• Strong understanding of corporate governance and general corporate law.
• Strong written and verbal communication skills, with the ability to explain legal issues clearly and concisely.
• Highly organized, detail-oriented, and able to manage multiple matters and deadlines.
• Ability to identify legal risks, exercise sound judgment, and provide practical recommendations.
• Ability to handle confidential and sensitive information appropriately.

At North Road, we carefully consider a wide range of factors to determine a fair and equitable compensation package. Pursuant to state and local pay disclosure guidelines, the base salary for this role is between $300,000 and $350,000 per year. The final offer amount will consider a range of factors, including a candidate’s experience and qualifications relevant to the role. In addition to base salary, this position is eligible for a discretionary annual bonus.
