If you are looking for a challenging, team-oriented environment in which you can put your expertise to work, then this is the place for you.**Position Summary**The Assistant Counsel provides legal guidance and practical business advice across a broad range of matters impacting the organization, including contracting, corporate governance and SEC matters, risk management, real estate, and regulatory compliance. While reporting to the General Counsel, this role works closely with Guardian’s corporate executive team and local pharmacy leadership across multiple locations nationwide, serving as a trusted legal and strategic advisor.**Essential Job Functions*** Draft, review, and negotiate a wide variety of customer-facing agreements, including pharmacy product and service agreements, master service agreements, term sheets, business associate agreements (BAAs), and confidentiality agreements.* Review and negotiate supplier-side and employment-related agreements, as needed.* Support local pharmacy presidents and sales teams on all aspects of customer contracting, including key contract provisions and pricing requirements.* Partner with sales and marketing to ensure consistent execution of a cohesive national sales and contracting approach.* Support corporate governance initiatives and SEC reporting requirements.* Provide legal counsel on key regulatory and compliance matters, including HIPAA, fraud, waste, and abuse (FWA), and broader healthcare compliance issues.* Assist with compliance initiatives, including drafting, implementing, and monitoring internal policies and procedures.* Support internal audit and compliance monitoring activities.* Perform other related duties as assigned.**Education and Licensure*** Juris Doctor (JD) required.* Active license to practice law in the State of Georgia required.**Skills and Qualifications*** Minimum of 5 years of relevant professional experience, either in-house or as outside counsel, advising organizations on contracting, corporate governance, SEC compliance, HIPAA, FWA, and other regulatory matters impacting healthcare providers.* Experience in one or more of the following areas is preferred: transactional contracting, SEC matters, corporate governance, real estate transactions, employee benefits, and compliance initiatives.* Prior experience working for or advising pharmacies, pharmaceutical manufacturers or suppliers, or other healthcare providers is highly desirable.* Strong organizational and time-management skills with the ability to manage multiple priorities and deadlines.* Advanced PC skills, including proficiency with Microsoft Excel.* Excellent written and verbal communication skills, with strong contract drafting and negotiation capabilities.**Core Attributes*** **Integrity & Work Ethic**: Demonstrates high ethical standards and a strong commitment to excellence aligned with company values.* **Leadership**: Ability to lead projects to completion while maintaining a collaborative, team-oriented approach.* **Relationship-Orient**ed: Builds strong partnerships with business leaders and serves as a trusted advisor.* **Strategic Thinking**: Anticipates issues, plans proactively, and manages time and resources effectively.* **Problem Solving**: Analyzes complex issues and delivers practical, business-focused solutions.* **Team Collaboration**: Works effectively across functions and with diverse stakeholders.**What We Offer:***Guardian provides employees with a comprehensive Total Rewards package, supporting our core value of, “Treat others as you would like to be treated.” Compensation & Financial** *Competitive pay** *401(k) with company match*Family, *Health & Insurance Benefits (Full-Time employees working 30+ hours/week only)** *Medical, Dental and Vision** *Health Savings Accounts and Flexible Spending Accounts** *Company-paid Basic Life and Accidental Death & Dismemberment** *Company-paid Long-Term Disability and optional Short-Term Disability** *Voluntary Employee and Dependent Life, Accident and Critical Illness** *Dependent Care Flexible Spending Accounts**Wellbeing** *Employee Assistance Program (EAP)** *Guardian Angels (Employee assistance fund)**Time Off** *Paid holidays and sick days** *Generous vacation benefits based on years of service***The Guardian Difference**Our clients require pharmacy services that aren’t “cookie cutter.” That’s why every Guardian pharmacy is locally operated and empowered with the autonomy to tailor their business to meet their clients’ needs.Our corporate support offices, based in Atlanta, Ga., provide services such as human resources, business intelligence, legal, and marketing to promote the success of each Guardian location.Regardless of your role at Guardian, your voice and talents matter.
