Capital Markets / Public Securities Associate Attorney
Location: Palo Alto, CA

Direct Counsel is seeking a Capital Markets / Public Securities Associate to join a top-tier national law firm with an internationally recognized corporate practice.

This role is ideal for an associate with 3–5 years of experience advising on capital markets and public securities matters, particularly in connection with high-growth and innovative companies.

Responsibilities:

• Represent issuers and underwriters in public securities offerings, including IPOs, follow-on offerings, and other equity and equity-linked transactions

• Advise public companies on SEC reporting, exchange compliance, and corporate governance matters

• Manage day-to-day workflow and client needs for sophisticated, fast-paced matters

• Build and maintain strong client relationships while collaborating with cross-functional deal teams

Qualifications:

• 3–5 years of capital markets and public securities experience at a national or international law firm

• Experience representing companies and/or underwriters in public offerings

• Familiarity with clients in the technology, consumer/retail, and life sciences sectors is strongly preferred

• Strong academic credentials from a nationally recognized law school

• JD required; California Bar admission (or eligibility) preferred

Compensation & Benefits:

• Expected annual compensation range: $260,000–$365,000 (final offer dependent on location, experience, and skillset)
