Associate Commercial Lawyer Position Summary Coker & Coker is seeking a highly motivated Associate Commercial Lawyer to join our growing legal team. This attorney will advise businesses, entrepreneurs, developers, and organizations on a broad range of commercial legal matters. The ideal candidate possesses strong analytical skills, exceptional attention to detail, and a practical, business-minded approach to solving complex legal issues while providing outstanding client service. Responsibilities Draft, review, and negotiate a wide variety of commercial agreements, including: Purchase and sale agreements Service agreements Vendor and supplier contracts Licensing agreements Non-disclosure agreements (NDAs) Employment and independent contractor agreements Operating agreements and shareholder agreements Commercial leases Financing and loan documents Advise clients on business formation, governance, and corporate compliance. Conduct legal research and prepare legal opinions and memoranda. Identify legal risks and develop practical business solutions. Assist clients with mergers, acquisitions, asset purchases, and other commercial transactions. Support commercial real estate transactions, including acquisitions, sales, leasing, and development matters. Represent clients during negotiations and dispute resolution. Collaborate with clients, attorneys, financial professionals, and outside advisors to facilitate successful transactions. Maintain accurate case files and ensure compliance with deadlines and regulatory requirements. Participate in business development initiatives and foster long‑term client relationships. Qualifications Required Juris Doctor (J.D.) from an accredited law school. Active Texas law license in good standing. Strong legal drafting, negotiation, and analytical skills. Excellent written and verbal communication abilities. Exceptional organizational and project management skills. Ability to manage multiple matters simultaneously while meeting deadlines. Professional judgment and a client-focused approach. Preferred 2–7 years of experience in commercial transactions, corporate law, or business law. Experience drafting and negotiating sophisticated commercial contracts. Familiarity with commercial real estate transactions. Knowledge of Texas business entities and corporate governance. Experience working directly with business owners, executives, and investors.
