Senior Vice President, Corporate Associate General Counsel

About the Role:

A leading mortgage and financial services organization is seeking an experienced Senior Vice President, Corporate Associate General Counsel to join its legal team. This is an excellent opportunity for a transactional attorney with significant experience in capital markets, secondary marketing, mortgage securitizations, structured finance, and mortgage-related transactions.

The successful candidate will provide strategic legal counsel on complex transactions while working closely with senior and executive management. This position offers significant responsibility, sophisticated transactional work, and the opportunity to play a key role in high-impact capital markets matters.

Key Responsibilities:

  • Review, negotiate, and draft Mortgage Loan Purchase and Sale Agreements, MSR Acquisition and Sale Agreements, Mortgage Loan Repurchase Agreements, Mortgage Loan Servicing Agreements, and Confidentiality Agreements.
  • Provide legal guidance on transaction structuring, asset transfers, risk allocation, and regulatory requirements related to MSR and whole loan transactions.
  • Advise on consumer mortgage compliance, asset eligibility, Qualified Mortgage requirements, Ability-to-Repay rules, CFPB regulations, and Agency requirements.
  • Structure, draft, and negotiate ISDAs, MSFTAs, and Securities Repurchase Agreements.
  • Review and update derivatives trading policies to ensure compliance with Dodd-Frank, ISDA protocols, and applicable CPO and CTA requirements.
  • Draft, review, and negotiate mortgage loan securitization documents including Pooling and Servicing Agreements, Custodial Agreements, Indentures, Trust Agreements, Escrow Agreements, legal opinions, and Indemnification Agreements.
  • Review and negotiate offering documents including Private Placement Memorandums, Offering Circulars, Prospectuses, and Term Sheets.
  • Oversee the legal aspects of securitization due diligence, including third-party review engagements and Due Diligence Questionnaires.
  • Draft, review, and revise Originator and Servicer Disclosures for company and third-party securitizations.
  • Ensure compliance with Regulation AB, Federal Securities Laws, credit risk retention requirements, SEC Rule ABS-15G reporting, and other applicable regulatory requirements.
  • Provide strategic legal advice to senior and executive management on complex transactional and regulatory matters.
  • Manage multiple complex transactions and projects while maintaining accuracy, quality, and attention to detail.
  • Collaborate with internal business teams and external parties to support successful transaction execution.
  • Perform other related duties and responsibilities as assigned.

Required Qualifications:

  • J.D. or other applicable post-graduate legal degree.
  • 5+ years of relevant legal experience.
  • Significant experience with secondary market and capital markets transactions.
  • Experience handling bulk whole loan sales and third-party mortgage securitization transactions.
  • Strong knowledge of mortgage loan transactions and related regulatory and compliance requirements.
  • Knowledge of mortgage loan origination, underwriting, servicing, and subservicing is preferred.
  • Active license to practice law in California or Texas.
  • Highly proficient in Microsoft Word.
  • Strong business acumen with the ability to work effectively with senior and executive management.
  • Excellent critical thinking, analytical, negotiation, and problem-solving skills.
  • Strong attention to detail and sound professional judgment.
  • Ability to manage multiple projects and priorities effectively.
  • Ability to work independently while contributing effectively within a collaborative team environment.
