Investment Funds Mid-Level Associate

Job Overview A law firm seeks an Investment Funds Mid‑Level Associate for their Charlotte, NC office. The ideal candidate will have 4‑6 years of experience in private equity fund formation and related matters, with a preference for those who have worked in large law firms or in‑house settings. Duties Assist private equity fund sponsors with fund formation, including preparing and negotiating private placement memoranda and partnership agreements. Review fund documentation for institutional investors and negotiate fund terms. Structure and draft governing documents for private equity fund management companies and general partners. Requirements 4‑6 years of significant experience in private equity fund formation. Working knowledge of relevant securities rules and regulations, including the Investment Advisers Act. Experience with private equity secondary transactions and/or GP‑led restructurings is beneficial. Admission to the state bar of the office location. Education Juris Doctor (JD) degree. Certifications State Bar Admission. Skills Strong negotiation and drafting skills. Ability to work collaboratively in a team environment. Excellent analytical and problem‑solving abilities.
